Warranties of Client. 12.2.1 As of the Effective Date, Client represents and warrants to KBI Biopharma that it has all requisite corporate power and authority to enter into and perform all of its obligations under this Agreement. The execution and delivery of this Agreement and the consummation of the transactions contemplated hereby have been duly and validly authorized by all necessary corporate action in respect thereof on the part of Client. Neither the execution and delivery of this Agreement nor the performance of the transactions contemplated hereby, nor compliance by Client with the provisions hereof, shall conflict with any obligations or agreements of Client to any person, contractual or otherwise.
Warranties of Client. Client warrants to HydrantID that: (i.) They have authority to enter into this agreement and bind their organization under the terms of this agreement, (ii) the information and documentation submitted to HydrantID is true, complete and accurate, (iii) to the best of its knowledge, the information to be listed (including the identity of the Subscriber) in the Certificate is current, accurate and complete.

Neither the execution and delivery of this Agreement nor the performance of the transactions contemplated hereby, nor compliance by Client with the provisions hereof, shall conflict with any obligations or agreements of Client to any person, contractual or otherwise. 12.2.2 Client represents and warrants to KBI Biopharma that it holds legal title to, or is fully entitled to provide, the materials, methods, plans, processes and other intellectual property necessary to conduct the Services and that KBI Biopharma’s performance of the Services will not violate or infringe on the patents, trademarks, service marks, copyrights, or intellectual property of any nature of any third party. 12.2.3 Client represents and warrants to KBI Biopharma that all materials provided by Client for use in the performance of the Services shall be free of contaminants and shall be fit for use in the performance of the Services. 12.2.4 Client represents and warrants to KBI Biopharma that it will hold, use and/or dispose of Product and all materials provided by KBI Biopharma in accordance with all applicable laws, rules and regulations.

Warranties of Client. Client represents and warrants that it has obtained all necessary rights, licenses, consents, waivers and permissions from advertisers, visitors, and others to allow NUI Media to store and deliver digital advertisements and otherwise operate the Application Services on Client's behalf and on behalf of its advertisers, and to use any data provided to or collected by NUI Media. Client further warrants that it will not collect any personally identifiable or sensitive information from any visitors to web sites served with Client's ads unless in full compliance with all applicable privacy and data collection laws, as well as the NUI Media Privacy Policy, located at xxxxx://xxx.xxxxxxxx.xxx/privacy-policy/, which is incorporated by reference herein.
Warranties of Client. Client represents and warrants that: (a) it has all necessary rights and authority to execute this Agreement and perform its obligations and to grant the rights and/or licenses granted hereunder to Alegion; (b) the Client Materials, as provided by Client, will not infringe upon the Intellectual Property Rights of any third party; and (c) it will comply with all applicable laws in the performance of its obligations hereunder.
