Warranties of Medeva. Medeva represents and warrants to Anthra that (i) the execution, delivery and performance by Medeva of this Agreement does not contravene or constitute any default under its certificate of incorporation or by-laws, any applicable law or regulation or any judgment, injunction, order or decree binding upon Medeva or any indenture, bank loan, credit or other agreement binding upon Medeva; (ii) Medeva is and will remain in compliance with all laws, regulations, ordinances, orders, injunctions, decrees and requirements applicable to the Marketing and sale of the Product, and, except as otherwise provided in this Agreement, Medeva will maintain in effect all governmental permits, licenses, orders, applications and approvals necessary to Market and sell the Product and will Market and sell the Product in accordance with the same; and (iii) Medeva maintains and will maintain throughout the term of this Agreement a work force suitably qualified and trained, and facilities and equipment sufficient, to enable Medeva to perform its obligations hereunder.
