XX BROKER Sample Clauses

XX BROKER. Licensee represents to Licensor that Licensee had no conversations or negotiations with any broker or finder with respect to this Agreement. Licensee agrees to indemnify, defend, and hold Licensor harmless from and against any and all claims for fees and commissions and against any liability (including reasonable attorney’s fees and disbursements) arising out of any conversations or negotiations had by Licensee with any broker or finder with respect to this Agreement.

XX BROKER. Buyer has retained no broker or other intermediary to act on its behalf in connection with the transactions contemplated by this Agreement other than Buyer’s arrangements with Xxxxxx Financial, Inc., Bank of America, N.A., and Congress Financial Corporation relating to obtaining financing for the transactions contemplated herein. Pursuant to separate agreements with Buyer, Xxxxxx Financial, Inc., Bank of America, N.A., and Congress Financial Corporation will be paid certain fees in conjunction with the transactions contemplated herein. Such fees and all other fees and expenses (including attorney’s and accountant’s fees) of Buyer in connection with the transactions contemplated herein shall be the sole responsibility of Buyer.
XX BROKER. The Companies are not committed to any liability for any brokers’ or finders’ fees or any similar fees in connection with the conveyance of the Stock to Buyer. Seller has retained no broker or other intermediary to act on its behalf in connection with the transactions contemplated by this Agreement except Xxxxxxx, Xxxxx & Co. ("Goldman"), and Seller will pay all fees due to Goldman in connection with the transactions contemplated by this Agreement.

Tenant agrees to indemnify and hold Landlord harmless from and against any claims or suits for a brokerage commission arising out of any conversation or negotiations had by Tenant with any brokers or finders in connection with the transactions contemplated by this Amendment, other than the Broker, whom Landlord shall pay pursuant to a separate agreement.
XX BROKER. Landlord and Tenant each warrant that they have dealt with no real estate broker in connection with this transaction with the exception of the brokers, if any, named in Exhibit F. Landlord and Tenant each agree to hold each other harmless from and against any and all damages, costs and expenses resulting from any claim(s) for a brokerage commission or finder’s fee that may be asserted against either of them by any broker or finder with whom the other has dealt.

  • The Broker Dealer understands and agrees that in performing the services covered by this Agreement, it is acting in the capacity of an independent contractor and not as an agent or employee of PEPCO, and that it is not authorized to act for, or make any representation on behalf of, PEPCO or the Insurer except as specified herein. Broker-Dealer understands and agrees that PEPCO shall execute telephone transfer orders only in accordance with the terms and conditions of the then current prospectus applicable to the contracts and/or policies and agrees that, in consideration for the Broker-Dealer's right to exercise the telephone transfer privilege, neither PEPCO nor the Insurer will be liable for any loss, injury or damage incurred as a result of acting upon, nor will they be held responsible for the authenticity of, any telephone instructions containing unauthorized, incorrect or incomplete information. Broker-Dealer agrees to indemnify and hold harmless PEPCO and the Insurer against any loss, injury or damage resulting from any telephone exchange instruction containing unauthorized, incorrect or incomplete information received from Broker-Dealer or any of its registered representatives. (Telephone instructions are recorded on tape.)
