Xxxxx Resources. The Company acknowledges and agrees that the Employee is and will remain a partner of, and has and will retain an interest in, Xxxxx, which will benefit the Company in that the Employee will have access to certain Xxxxx resources pursuant to a certain Full-Time Permanent Engagement Resources Agreement between the Company and Xxxxx (the "Resources Agreement").

Xxxxx Resources. Justification:
Xxxxx Resources. The Company acknowledges and agrees that the Employee is and will remain a partner of, and has and will retain an interest in, Xxxxx CPO Partners, LLP ("Xxxxx"), which will benefit the Company in that the Employee will have access to certain Xxxxx resources. The Company further acknowledges and agrees that the Employee has requested that a portion of his or her Salary and bonuses be allocated to Xxxxx as compensation for Xxxxx'x provision of resources to the Employee as provided in the Resources Agreement between the Company and Xxxxx, dated on or about the date of this agreement (the "Resources Agreement"). After allocation of a portion of the Salary to Xxxxx, the Employee will be paid $6,000 bi-weekly. The Company and the Employee agree that any payments made to Xxxxx will reduce the Employee's compensation for purposes of determining taxable income and should not be reflected as compensation in the Employee's W-2 report.
Xxxxx Resources. The Company acknowledges and agrees that Executive is and will remain a partner of, and has and will retain an interest in, Xxxxx CFO Partners, LLP (“Xxxxx”), which will benefit the Company in that Executive will have access to certain Xxxxx resources. The Company and Executive acknowledge and agree that a Resource Fee, and other compensation, will be paid by the Company to Xxxxx in consideration for Xxxxx’x provision of resources to Executive as provided in the Interim Engagement Resources Agreement between the Company and Xxxxx, dated on or about the date of this Agreement (the “Resources Agreement”). The Company and Executive agree that any payments made by the Company to Xxxxx pursuant to the terms of the Resources Agreement will not be treated as income to Executive from services performed by Executive to the Company and will not be reflected as compensation in the Executive’s W-2 report.

  • Customer Services Customer Relationship Management (CRM): All aspects of the CRM process, including planning, scheduling, and control activities involved with service delivery. The service components facilitate agencies’ requirements for managing and coordinating customer interactions across multiple communication channels and business lines. Customer Preferences: Customizing customer preferences relative to interface requirements and information delivery mechanisms (e.g., personalization, subscriptions, alerts and notifications).

  • Financial Resources The Adviser has the financial resources available to it necessary for the performance of its services and obligations contemplated in the Pricing Disclosure Package, the Prospectus, and under this Agreement, the Investment Management Agreement and the Administration Agreement.

  • Resources Contractor is responsible for providing any and all facilities, materials and resources (including personnel, equipment and software) necessary and appropriate for performance of the Services and to meet Contractor's obligations under this Agreement.

  • Support Services HP’s support services will be described in the applicable Supporting Material, which will cover the description of HP’s offering, eligibility requirements, service limitations and Customer responsibilities, as well as the Customer systems supported.

  • Additional Resources The WLSC may establish workgroups that include other department representatives and/or subject matter experts. These subcommittees will conform with rules established by the WLSC.

  • Compliance Support Services Provide compliance policies and procedures related to services provided by BNY Mellon and, if mutually agreed, certain of the BNY Mellon Affiliates; summary procedures thereof; and periodic certification letters. · Such Compliance Support Services are administrative in nature and do not constitute, nor shall they be construed as constituting, legal advice or the provision of legal services for or on behalf of a Fund or any other person, and such services are subject to review and approval by the applicable Fund and by the Fund’s legal counsel. · Provide access to Fund records so as to permit the Fund or TRP to test the performance of BNY Mellon in providing the services under this Agreement. · Such Compliance Support Services performed by BNY Mellon under this Agreement shall be at the request and direction of the Fund and/or its chief compliance officer (the “Fund’s CCO”), as applicable. BNY Mellon disclaims liability to the Fund, and the Fund is solely responsible, for the selection, qualifications and performance of the Fund’s CCO and the adequacy and effectiveness of the Fund’s compliance program.

  • Customer Relations A. Actively promote DCP Holding Company in all Marketing, Sales, Public Relations, and Community activity.

  • Company Resources (a) Company will be solely responsible, at Company's expense, for procuring, maintaining, and supporting all third-party software other than Third Party Products and all workstations, personal computers, printers, controllers or other hardware or peripheral equipment at Company's sites ("Company System") required for Company to operate the Licensed System in accordance with the Documentation and specifications provided by BNYM from time to time. BNYM will provide Company with specifications for Company System, including any requirements relating to the connection and operation of the Company System with the Licensed System and Third Party Products. Company shall conform its operating system environment to the operating system requirements provided by BNYM for the Licensed System. Company will support and maintain the Company System as necessary to ensure its operation does not impact the Licensed System adversely or otherwise in a manner not contemplated by the Documentation.

  • Compliance Services (a) If Schedule I contains a requirement for the BNY to provide the Fund with compliance services, such services shall be provided pursuant to the terms of this Section 6 (the “Compliance Services”). The precise compliance review and testing services to be provided shall be as mutually agreed between the BNY and each Fund, and the results of the BNY’s Compliance Services shall be detailed in a compliance summary report (the “Compliance Summary Report”) prepared on a periodic basis as mutually agreed. Each Compliance Summary Report shall be subject to review and approval by the Fund. The BNY shall have no responsibility or obligation to provide Compliance Services other that those services specifically listed in Schedule I.

  • Marketing Services The Manager shall provide advice and assistance in the marketing of the Vessels, including the identification of potential customers, identification of Vessels available for charter opportunities and preparation of bids.
