Xxxxxx and authorisations the memorandum and articles of association of the Third Party Deposit Provider include provisions which give power, and all necessary corporate authority has been obtained and action taken, for the Third Party Deposit Provider to sign and deliver, and perform the transactions contemplated in, this Agreement and the agreements entered into in connection herewith and this Agreement and the agreements entered into in connection herewith constitute valid, legal and binding obligations of the Third Party Deposit Provider and are enforceable in accordance with their terms;
