Xxxxx'x Rating Event. So long as the Transfer Trigger Requirements apply, Party A will at its own cost use commercially reasonable efforts to, as soon as reasonably practicable, either (A) procure an Eligible Guarantee in respect of all of Party A’s present and future obligations under this Agreement from a guarantor with a Qualifying Transfer Trigger Rating and or (B) transfer its rights and obligations under this Agreement in accordance with Part 5(q) (Transfers) below.
Xxxxx'x Rating Event. So long as the Second Rating Trigger Requirements apply, Party A will at its own cost use commercially reasonable efforts to, as soon as reasonably practicable, procure either (A) an Eligible Guarantee in respect of all of Party A’s present and future obligations under this Agreement to be provided by a guarantor with the Second Trigger Required Ratings or (B) a transfer in accordance with Part 5(17) below.
Xxxxx'x Rating Event. (A) So long as the Transfer Trigger Requirements apply, Party A will, at its own cost, use commercially reasonable efforts to, as soon as reasonably practicable, either (A) procure an Eligible Guarantee in respect of all of its present and future obligations under this Agreement from a guarantor with a Qualifying Transfer Trigger Rating or (B) without prejudice to the need for Party B's consent in accordance with Part 5(q) which Party A shall use commercially reasonable efforts to obtain), transfer its rights and obligations under this Agreement to a Moody's Eligible Replacement.
