Xxxxxx Xxxeement. This Agreement contains the entire agreement between the parties hereto with respect to the matters contemplated herein and supersedes all previous agreements or understandings between the parties related to such matters.
Xxxxxx Xxxeement. This Agreement sets forth the entire understanding of the parties and supersedes all prior agreements, arrangements and communications, whether oral or written, pertaining to the subject matter hereof.
Xxxxxx Xxxeement. This agreement constitutes and xxxxxxxx xxe full and complete understanding and agreement of the Parties hereto with respect to the subject matter hereof and supersedes all prior understandings whether oral or in writing and may not be modified except by writing signed by the Parties therto.
Xxxxxx Xxxeement. This Agreement (including the exhibits, documents and instruments referred to herein or therein) (1) constitutes the entire agreement of the parties and supersedes all other prior agreements and understandings, both written and oral, among the parties, or any of them, with respect to the subject matter hereof; (2) is not intended to and shall not confer any rights or remedies hereunder upon any person other than ICB, NB&T, Agency and the Agency Shareholders; (3) shall not be assigned by operation of law or otherwise; and (4) shall be governed in all respects, including validity, interpretation and effect, by the laws of the State of Ohio, except to the extent that federal law may be applicable.
Xxxxxx Xxxeement. This Agreement (including the Schedules and Exhibits), together with the Confidentiality Agreement, are the product of all of the parties hereto, and constitute the entire agreement between such parties pertaining to the subject matter hereof, and merge all prior negotiations and drafts of the parties with regard to the transactions contemplated herein. Any and all other written or oral agreements existing between the parties hereto regarding such transactions are expressly canceled.
Xxxxxx Xxxeement. This Agreement, the Merger Xxxxxxxxx xxx the Notes and the other documents delivered pursuant hereto and thereto constitute the entire agreement among the parties and no party shall be liable or bound to any other party in any manner by any warranties, representations, or covenants except as specifically set forth herein or therein.
Xxxxxx Xxxeement. This agreement sets forth the entire understanding of the Parties Relating to the subject matter hereof and supercedes and cancels any prior communications, understandings, and agreements between the Parties. With my signature below, I affirm that I am the legally authorized signatory for this transaction, empowered by the Company to execute legal agreements. Xxxxxx Xxxeement. This Agreement and the Merger Agreement constitute the entire agreement among the Parties with respect to the subject matter hereof.
Xxxxxx Xxxeement. (a) Thxx Xxxxxxxxt is the entire agreement between the parties and supersedes all prior and contemporaneous agreements and understandings of the parties.
Xxxxxx Xxxeement. This Agreement, including all schedules and exhibits hereto, which schedules or exhibits are incorporated herein by reference and deemed to be a part of this Agreement, constitutes the entire agreement of the parties with respect to the subject matter hereof, and may not be modified, amended or terminated except by a written instrument specifically referring to this Agreement signed by all the parties hereto.
