Xxxxxxx Xxxxx Employees Sample Clauses

Xxxxxxx Xxxxx Employees. (i) The Xxxxx Transferors and Xxxxxxx Xxxxx Manager shall terminate the employment, as of the Closing Date, of all of the Xxxxxxx Xxxxx Employees, and shall waive all non-compete and confidentiality provisions in respect of the Xxxxxxx Xxxxx Employees. The Xxxxx Transferors and Xxxxxxx Xxxxx Manager shall comply with all Applicable Laws in connection with such terminations, including those relating to statutory notice, payment of vacation pay and severance. Ivanhoe II has provided to the Xxxxx Transferors a detailed report setting out all amounts that will be owing to the Xxxxxxx Xxxxx Employees as a consequence of their termination by the Xxxxxxx Xxxxx Manager in respect of: (A) statutory notice; (B) payment of vacation pay and severance under Applicable Laws; (C) payment of all other amounts due under common law as a consequence of such terminations; and (D) without derogating from the provisions of Section 2.12(b)(ii), payment of contractual obligations (including the continued payment of insurance premiums and RRSP matching contributions) relating to such terminations (collectively, the “Aggregate Termination Payments”). The Xxxxx Transferors shall be credited, as a Closing Adjustment, with the amounts of the Aggregate Termination Payments to the extent not already funded directly or indirectly by the Ivanhoe Transferees or their Affiliates and the Xxxxx Transferors shall provide to Ivanhoe II, on or before Closing, evidence that the Aggregate Termination Payments have been paid to the Xxxxxxx Xxxxx Employees. The Xxxxx Transferors shall be credited, as a Post Closing Adjustment, with any RRSP matching contributions that the Xxxxx Transferors make after the Closing in respect of such Xxxxxxx Xxxxx Employees, provided that the Xxxxx Transferors are obligated, by Applicable Laws (or by contractual obligations that have been disclosed to the Ivanhoe Transferee on or before the Cut-Off Date) to make such matching RRSP contributions.
