Yield Maintenance Payment. For any Class of Class I-A Certificates and for any Distribution Date from and including March 2005 to and including August 2013, the lesser of (a) the Carryover Shortfall Amount for such Class for such Distribution Date and (b) such Class’ pro rata share of the related Yield Maintenance Available Payment Amount for such Distribution Date (such pro rata share calculated based on an allocation of the related Yield Maintenance Available Payment Amount among the related Classes of Class I-A Certificates pro rata according to Carryover Shortfall Amount, as applicable). For any Class of Class II-A Certificates (other than the Class 2-A-3 Certificates) and for any Distribution Date from and including March 2005 to and including August 2013, the lesser of (a) the Carryover Shortfall Amount for such Class for such Distribution Date and (b) such Class’ pro rata share of the related Yield Maintenance Available Payment Amount for such Distribution Date (such pro rata share calculated based on an allocation of the related Yield Maintenance Available Payment Amount among the related Classes of Class II-A Certificates (other than the Class 2-A-3 Certificates) pro rata according to Carryover Shortfall Amount, as applicable). For the Class Y Certificates for any Distribution Date from and including March 2005 to and including August 2013, the sum of (A) the excess, if any, of (i) the Yield Maintenance Available Payment Amounts for the Class I-A Certificates and the Class II-A Certificates for such Distribution Date over (ii) the aggregate of the Yield Maintenance Payments for the Class A Certificates for such Distribution Date and (B) the excess, if any, of (i) the amounts received by the Trustee pursuant to the Yield Maintenance Agreements for such Distribution Date and deposited by the Trustee into the Yield Maintenance Account in accordance with Section 3.16 over (ii) the Yield Maintenance Available Payment Amount for the Class I-A Certificates and the Class II-A Certificates for such Distribution Date.
Yield Maintenance Payment. For any Distribution Date and the Class II-A-1 Yield Maintenance Agreement, the payment, if any, to the holders of the Class II-A-1 Certificates from amounts paid under the Class II-A-1 Yield Maintenance Agreement. With respect to any Distribution Date and the Class II-A-1 Certificates, the Yield Maintenance Payment shall be the amount equal to (a) the product of (i) the positive excess, if any, of (A) the lesser of (x) LIBOR and (y) 8.80% per annum, over (B) 5.55% per annum, and (ii) the lesser of (x) the Certificate Principal Balance of the Class II-A-1 Certificates immediately prior to the related Distribution Date, and (y) the amount set forth for that Distribution Date in the Additional Terms table in the Class II-A-1 Yield Maintenance Agreement.
Yield Maintenance Payment. For any Distribution Date, the payment, if any, due under the applicable Yield Maintenance Agreement in respect of such Distribution Date.

Yield Maintenance Payment. For any Class of Class A-1C and Class A-1D Certificates and for any Distribution Date from and including the Distribution Date in August 2007 to and including the Final Yield Maintenance Payment Date, the lesser of (a) the Carryover Shortfall Amount for such Class for such Distribution Date and (b) such Class' pro rata share of the Yield Maintenance Available Payment Amount for such Distribution Date (such pro rata share calculated based on an allocation of such Yield Maintenance Available Payment Amount among the Class A-1C and Class A-1D Certificates pro rata according to Carryover Shortfall Amount).
Yield Maintenance Payment. If during the Term PDN shall issue or sell, or is, in accordance with this Section 1.5, deemed to have issued or sold, in excess of 1,500,000 shares (the “Adjustment Threshold”) of its capital stock for a consideration per share less than $0.25, as adjusted from time to time and in effect immediately prior to such issuance or sale (or deemed issuance or sale), then on the Maturity Date the Borrower shall pay to the Lender, in addition to all other amounts then due and payable, such amount as is necessary to make the Lender’s internal rate of return (“IRR”) under the Note (as calculated below) equal to twenty percent (20%) based on the advances and repayments made during the term of the Note. Pi = the ith, or last, payment The IRR shall be inclusive of the Closing Fee and all interest paid at the Base Rate, but exclusive off all other fees and other consideration payable pursuant to the Loan Documents including, without limitation, any default interest and late fees. The Company shall be deemed to have issued or sold capital stock subject to the adjustment provisions of this Section 1.5 upon the issuance or sale of any options, warrant, securities, convertible securities or other rights to subscribe for, purchase, exchange for or convert into capital stock; provided however that the IRR shall not be payable unless and until the company has issued or sold shares of capital stock in excess of the Adjustment Threshold.
