THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is effective as of August 19, 2013, by and between NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”), on behalf of Astor Long/Short ETF Fund, Astor Active Income ETF Fund and Astor S.T.A.R. ETF Fund (each a “Fund”, collectively the “Funds”) each a series of the Trust, and the advisor of the Fund, National Asset Management, Inc. (the “Advisor”).

THIS FUND SERVICES AGREEMENT (the “Agreement”) made as of June 22, 2011, by and between NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust having its principal office and place of business at 4020 South 147th Street, Omaha, Nebraska 68137 (the "Trust") and GEMINI FUND SERVICES, LLC, a Nebraska limited liability company having its principal office and place of business at 4020 South 147th Street, Omaha, Nebraska 68137 (“GFS”). This Agreement replaces and supersedes the existing fund services agreement between the parties hereto; provided, however that the Appendix IV’s in existence as of the date hereof shall remain in effect under this Agreement.
