This AGREEMENT is made as of May 25, 2022 between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), and HOWARD CAPITAL MANAGEMENT, INC. a Delaware Corporation (the “Adviser”) located at 1145 Hembree Road, Roswell, GA 30076.

THIS CONSULTING AGREEMENT (this “Agreement”) dated January 1, 2017 (the “Original Effective Date”), as amended and restated on April 1, 2022 (the “Effective Date”), is entered into by and between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust having its office and principal place of business at 225 Pictoria Drive, Suite 450, Cincinnati, Ohio 45246 (the “Trust”), and NORTHERN LIGHTS COMPLIANCE SERVICES, LLC, a Nebraska limited liability company having its office and principal place of business at 4221 North 203rd Street, Suite 100, Elkhorn, Nebraska 68022 (“NLCS”).

THIS FIRST AMENDMENT TO CUSTODIAN AGREEMENT (this “Amendment”) is made as of May 25, 2022 by and between BROWN BROTHERS HARRIMAN & CO., a limited partnership organized under the laws of the State of New York (“BBH&Co.” or, when referring to BBH&Co. in its capacity as custodian, the “Custodian,”), and Northern LIghts fund TRUST iii (the “Fund”), an open-end management investment company organized under the laws of the State of Delaware and registered with the Securities and Exchange Commission under the Investment Company Act of 1940, on behalf of each of its Portfolios listed on Schedule V (Portfolios of the Trust) to the Agreement (as defined below).

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of the 25th day of May, 2022, by and between NORTHERN LIGHTS FUND TRUST III, a Delaware statutory trust (the “Trust”), on behalf of the HCM Dynamic Income Fund (the “Fund”) a series of the Trust, and the Advisor of the Fund, Howard Capital Management, Inc., a Delaware Corporation (the “Advisor”).
