Common use of Assignment Clause in Contracts

Assignment. Customer will not assign, delegate or otherwise transfer this Agreement or any of its rights or obligations hereunder without Xxxxxxxx’x prior approval. In the event that Reseller ceases to be WKCDI’s authorized distributor for any reason, then Xxxxxxxx’x rights in and to this Agreement shall automatically and irrevocably transfer to WKCDI by assignment and Customer hereby consents and agrees to such transfer or assignment. No further action, writing, or documentation shall be required for such assignment to take place.
