Různá ustanovení. 13.1 Uzavření této Smlouvy není podmíněno žádným existujícím či budoucím obchodným vztahem mezi Centrem a společností Bayer ani na žádném obchodním rozhodnutí, které Centrum učinilo anebo učiní vůči společnosti Bayer nebo výrobkům obchodovaným společností recruitment obligations within the agreed time period, Bayer has the right by giving written notice to the Center through the Investigator to (a) decrease the number of trial subjects to be recruited with immediate effect; or to (b) extend the term of recruitment; or to (c) terminate this Agreement; however, in case of (c) provided that Bayer has sent prior written notice to the Center through the Principal Invesigator informing about a delay in trial subject recruitment in Center and requesting Center to cure such deficiency within a reasonable period of time. If such deficiency is not cured in time, Bayer may terminate the Agreement with immediate effect. 12.5 In the event Bayer unreasonably does not approve a new investigator pursuant to Section 2.19 or such new investigator does not agree to the terms of this Agreement in writing, Bayer may terminate this Agreement as of the day of delivery of the notice on termination to the Center. 12.6 Bayer shall make all payments due for the performance of proper and contractual services provided by Center and pass through costs reasonably incurred in good faith hereunder which have accrued up to the date such termination notice is received, or, in case of a termination of this Agreement pursuant to Section 12.3, up to the date of receipt of such final rejection. Should Center have received higher payments than the payments due according to the work already performed, Center shall reimburse the balance to Bayer without undue delay. 12.7 Upon termination of this Agreement, Center shall ensure that all materials and objects that were provided by Bayer in relation to the Study are returned to Bayer. Art. 13 - Miscellaneous 13.1 The conclusion of this Agreement is not conditioned on any pre-existing or future business relationship between Bayer and the Center. Různá ustanovení. (a) Práva prodávajícího podle těchto podmínek jsou dodatkem k jakýmkoli jiným právům, které může prodávající mít na základě obecného práva či jinak. Kupující přebírá riziko změny okolností ve smyslu §1765 odst. 2 českého Občanského zákoníku.
Různá ustanovení. 1. WTO se bude řídit rozhodnutími, postupy a obvyklou praxí, dodržovanými SMLUVNÍMI STRANAMI GATT 1947 a zachová orgány, zřízené v rámci GATT 1947, pokud ustanovení této Dohody a Mnohostranných obchodních dohod nestanoví jinak.
