A-2a Noteholders definition

A-2a Noteholders means the holders of record of the A-2a Notes.
A-2a Noteholders means the holders of record of the A-2[a] Notes.

  • All principal payments on the Class A-2a Notes shall be made pro rata to the Class A-2a Noteholders entitled thereto.

  • All principal payments on the Class A-2a Notes shall be made pro rata to the Class A-2a Noteholders (and the Class A-2b Noteholders) entitled thereto.

  • All principal payments on the Class A-2b Notes shall be made pro rata to the Class A-2b Noteholders (and the Class A-2a Noteholders) entitled thereto.

  • The attention of the A2a Noteholders is particularly drawn to the quorum required for the Meeting as set out in paragraphs 3 and 4 above.

  • Notwithstanding the foregoing, any principal amounts payable to the Class A-2a Noteholders pursuant to clause (vi) or (vii) above prior to the Class A-2a Maturity Date shall be deposited into the Class A Principal Account.

  • Notice of that termination will be given by the Issuer to the Class A2a Noteholders in accordance with Condition 9.

  • If the Offshore Note Trustee is entitled under the Master Trust Deed or the Master Security Trust Deed to vote at any meeting on behalf of the Class A2a Noteholders, the Offshore Note Trustee must vote in accordance with the directions of all the Class A2a Noteholders and otherwise in its absolute discretion.

  • In acting in accordance with the directions of theClass A2a Noteholders, the Offshore Note Trustee must exercise its votes for or against any proposal to be put to a meeting in the same proportion as that of the votes cast for or against such a proposal at a meeting of the Class A2a Noteholders convened in accordance with the Offshore Note Trust Deed by the Offshore Note Trustee for the purpose of seeking directions.

  • In respect of Class A2a Notes represented by a Definitive Note, notices to Class A2a Noteholders will be sent by postage prepaid, to such Class A2a Noteholder's address as it appears on the Offshore Note Register.

  • A-2 Noteholders means the holders of record of the A-2 Notes.

  • Class A-2a Noteholder means the Person in whose name a Class A-2a Note is registered in the Note Register.

  • Class C Noteholders means the holders of any Class C Notes from time to time.

  • Class A-1 Noteholders Interest Carryover Shortfall” means, with respect to any Payment Date, the excess of the Class A-1 Noteholders’ Monthly Accrued Interest for the preceding Payment Date and any outstanding Class A-1 Noteholders’ Interest Carryover Shortfall on such preceding Payment Date, over the amount in respect of interest that is actually paid to Holders of Class A-1 Notes on such preceding Payment Date, plus interest on the amount of interest due but not paid to Holders of Class A-1 Notes on the preceding Payment Date, to the extent permitted by law, at the Class A-1 Interest Rate for the related Interest Period.

  • Class A-2 Noteholders means the Class A-2a Noteholders and the Class A-2b Noteholders.

  • Class A-4 Noteholder means the Person in whose name a Class A-4 Note is registered in the Note Register.

  • Class A-3 Noteholder means the Person in whose name a Class A-3 Note is registered on the Note Register.

  • Class A-2b Noteholder means the Person in whose name a Class A-2b Note is registered in the Note Register.

  • Class A-1 Noteholder means the Person in whose name a Class A-1 Note is registered on the Note Register.

  • Class A-2 Noteholder means the Person in whose name a Class A-2 Note is registered on the Note Register.

  • Class A Noteholders means, collectively, the Class A-1 Noteholders, the Class A-2 Noteholders, the Class A-3 Noteholders and the Class A-4 Noteholders.

  • Class D Noteholders means the holders of any Class D Notes from time to time.

  • Class B Noteholders Distribution Amount” means, for any distribution date, the sum of the Class B Noteholders’ Interest Distribution Amount and the Class B Noteholders’ Principal Distribution Amount for that distribution date.

  • Class A Noteholder means the Person in whose name a Class A Note is registered in the Note Register.

  • Class C Noteholder means the Person in whose name a Class C Note is registered in the Note Register.

  • Class B Noteholder means the Person in whose name a Class B Note is registered in the Note Register.

  • Class E Noteholder means the Person in whose name a Class E Note is registered on the Note Register.

  • Class A-2a Notes means the $359,000,000 Class A-2a 5.14% Asset Backed Notes issued by the Issuer, substantially in the form of Exhibit A to the Indenture.

  • Class D Noteholder means the Person in whose name a Class D Note is registered on the Note Register.

  • Class C Noteholders’ Monthly Accrued Interest means, with respect to any Payment Date, the aggregate interest accrued for the related Interest Period on the Class C Notes at the Class C Interest Rate on the Class C Note Balance on the immediately preceding Payment Date or the Closing Date, as the case may be, after giving effect to all payments of principal to the Class C Noteholders on or prior to such preceding Payment Date.

  • Class A-3 Note Balance means, at any time, the Initial Class A-3 Note Balance reduced by all payments of principal made prior to such time on the Class A-3 Notes.

  • Senior Noteholders means the holders of the Senior Notes.

  • Class D Noteholders’ Monthly Accrued Interest means, with respect to any Payment Date, the aggregate interest accrued for the related Interest Period on the Class D Notes at the Class D Interest Rate on the Class D Note Balance on the immediately preceding Payment Date or the Closing Date, as the case may be, after giving effect to all payments of principal to the Class D Noteholders on or prior to such preceding Payment Date.

  • Class A-4 Note Balance means, as of any date, the Initial Class A-4 Note Balance reduced by all payments of principal made on or prior to such date on the Class A-4 Notes.

  • Class C Noteholders’ Interest Carryover Shortfall means, with respect to any Payment Date, the excess, if any, of the Class C Noteholders’ Monthly Accrued Interest for the preceding Payment Date and any outstanding Class C Noteholders’ Interest Carryover Shortfall on such preceding Payment Date, over the amount in respect of interest that was actually paid to Noteholders of Class C Notes on such preceding Payment Date, plus interest on the amount of interest due but not paid to Noteholders of Class C Notes on the preceding Payment Date, to the extent permitted by law, at the Class C Interest Rate for the related Interest Period.

  • Initial Class A-3 Note Balance means $380,000,000.
