Accelerated Amortisation Event definition

Accelerated Amortisation Event means any of the following events:
Accelerated Amortisation Event means, as of any Calculation Date, (i) a Termination Event and/or a Servicer Termination Event has occurred and/or (ii) a Seller/Servicer Warranty Breach that has occurred and has been continuing for more than 30 calendar days after the Seller or, as applicable, the Servicer has become actually aware of, or has received written notification evidencing the breach of, the relevant Seller/Servicer Warranty;
Accelerated Amortisation Event means the occurrence of any of the following events: • a failure by the Issuer to pay interest due in respect of any Class A Notes of any Note Series or, if the Class A Notes of all Note Series have been redeemed in full, a failure by the Issuer to pay interest due in respect of any Class B Notes of any Note Series, which in each case has not been remedied within five (5) Business Days from the relevant Payment Date; or • it is or will become unlawful for the Issuer to perform or comply with any of its material obligations under or in respect of the Notes; or • a failure by the Issuer to redeem, six (6) months prior to the relevant Final Repayment Date, any Class A Notes of any Note Series or, if the Class A Notes of all Note Series have been redeemed in full, of any Class B Notes of any Note Series; or • on any Calculation Date, the Transaction Manager has determined that the aggregate of the sum of: • the Outstanding Principal Balance of the Purchased Receivables (excluding the Non-Compliant Receivables and the Disputed Receivables) under the Performing Credit Card Agreements as of the immediately prior Cut- Off Date to such Calculation Date; plus • the Outstanding Principal Balance of the Purchased Receivables transferred in the context of Initial Transfers on the Monthly Purchase Date preceding such Calculation Date; minus • the Outstanding Principal Balance of any outstanding Purchased Receivables (other than any Non-Compliant Receivables, any Disputed Receivables or any Receivables under Defaulted Credit Card Agreements) repurchased by the Seller on the Repurchase Date preceding such Calculation Date; • the Unapplied Revolving Amount as of the next Payment Date immediately following such Calculation Date (after the application of the Priority of Payments); and • the amounts standing to the credit of the Transaction Account corresponding to Principal Collections as of the next Payment Date immediately following such Calculation Date (after the application of the Priority of Payments), is less than the Principal Amount Outstanding of all Note Series as of the Payment Date immediately following such Calculation Date (taking into account any redemption or issuance of Note Series to be made between on or before the next Payment Date), multiplied by the sum of (i) one (1) and (ii) the Required Seller Share;• the occurrence of a Commingling Event unless it is remedied within five (5) Business Days; or • the occurrence of an Event of Default unless such an E...

  • Acceleration Event means the occurrence of an Event of Default (a) in respect of which Agent has declared all or any portion of the Obligations to be immediately due and payable pursuant to Section 10.2, (b) pursuant to Section 10.1(a), and in respect of which Agent has suspended or terminated the Revolving Loan Commitment pursuant to Section 10.2, and/or (c) pursuant to either Section 10.1(e) and/or Section 10.1(f).

  • Unmatured Termination Event means an event that, with the giving of notice or lapse of time, or both, would constitute a Termination Event.

  • Step-Up Date The first Distribution Date following the first Distribution Date on which the aggregate unpaid principal balance of the Mortgage Loans, and properties acquired in respect thereof, remaining in the Trust Fund has been reduced to less than or equal to 10% of the Aggregate Stated Principal Balance of the Mortgage Loans as of the Cut-off Date.
