Accrued Return means, as of any date, the cumulative Preferred Return that has been accrued but not paid to the Members.

Examples of Accrued Return in a sentence

  • If, as a result of any prepayment by the Company, all of the Purchase Amount of, and Accrued Return earned on, this LRO through the Payment Date have been paid in full, the Company’s obligation to make any LRO Payments hereunder will automatically terminate and this LRO shall be of no further force or effect.

  • The parties acknowledge and agree that the Company may, at any time without penalty, prepay all (or any unpaid portion) of the Purchase Amount of this LRO and/or of any Accrued Return earned on this LRO through the time of such prepayment.

  • If, on or within five (5) Business Days of the Final Payment Date, any Purchase Amount of, or Accrued Return earned on, this LRO through the Final Payment Date remain due and payable, the payment obligation set forth in Section 2(a) above will automatically be extended to the Extended Payment Date.

  • From and after the tenth anniversary of the Issuance Date, the Partnership shall have the right to redeem the remaining portion of the Class A Interest for a redemption price equal to 100% of the amount of Original Investment times the percentage of the Class A Interest that had not as yet been converted into HP Shares as described in Section 10.06 above (the "Redemption Price"), plus any Accrued Return.

  • The portion of the Class A Interest so converted will no longer be deemed to be outstanding and all rights of the holder with respect to that portion so converted will immediately terminate, except the right to receive the HP Shares and any Accrued Return.

  • The Purchase Price and the Accrued Return (as defined below) shall be paid to Rockpoint in cash at Closing, by wire transfer of immediately available funds to the applicable account designated by Rockpoint on Schedule 2 attached hereto (each, a “Rockpoint Account”).

  • No Partner shall receive any distributions in respect of, and no Cumulative Unpaid Accrued Return Amount shall accrue with respect to, any failure of such Partner to timely receive any Priority Distribution Amount due to the Partner's failure to provide the General Partner with accurate information regarding its address for payment of distributions hereunder.

  • Immediately following the receipt of such contribution, the General Partner shall cause such cash to be distributed to the Limited Partners in satisfaction of their aggregate outstanding Cumulative Unpaid Accrued Return Amount and Accrued Amount.

  • Any unfunded CapEx Reserve Advance after the Outside Draw Date shall remain in the CapEx Reserve Account over which PE Member shall have sole dominion and control, which funds shall earn Preferred Return and Preferred Accrued Return and may be used by PE Member if they choose to perform the Construction Work.

  • The portion of the Class A Interest so redeemed will no longer be deemed to be outstanding and all rights of the holder with respect to that potion of the Class A Interest so converted will immediately terminate, except the right to receive Units and any unpaid Accrued Return and/or other accumulated, accrued and unpaid distributions.
