Acquisition Charges definition

Acquisition Charges as defined in Section 6.6(c).
Acquisition Charges means the nonrecurring charges associated with the Sonoco Acquisition, including, but not limited to, the closing of plants of Borrower or the Target Companies in connection with the Sonoco Acquisition taken (in accordance with GAAP) by Borrower on or prior to Borrower's fiscal year ending October 31, 1998; provided, however, that all such charges shall not exceed, on pre-tax basis, Thirty-Five Million Dollars ($35,000,000).

More Definitions of Acquisition Charges

Acquisition Charges means the transaction costs, fees and expenses incurred in connection with the BCFWC Acquisition (including any related retention bonuses not to exceed the amount set forth on Schedule 1.1(d) hereto) and the financing therefor (including those related to this Agreement, the Senior Notes, the Holdco Notes or the ABL Facility).
Acquisition Charges means the transaction costs, fees and expenses incurred in connection with the TRU Acquisition and the financing therefor (including those related to this Agreement, the Bridge Financing Facility, the Permanent Financing Facility or any take out financing thereof).
Acquisition Charges means charges associated with the consummation of the transactions contemplated by the AG Merger Agreement.

Related to Acquisition Charges

  • transaction charge means any amount charged to a client by a registered firm in respect of a purchase or sale of a security and includes any federal, provincial or territorial sales taxes paid on that amount;

  • Termination Charges means any compensatory charges payable by the Customer to BT on termination of this Agreement in whole or in part or a Service as set out in a Schedule or Order.

  • Acquisition Costs means all fees, costs, expenses, stamp, registration or transfer Taxes incurred by the Group in connection with the Acquisition.

  • Track Charges means the charges payable by or on behalf of the Train Operator to Network Rail, as set out in paragraph 1 of Part 2 of Schedule 7 or under the Traction Electricity Rules;

  • Acquisition Expenses means any and all expenses, exclusive of Acquisition Fees, incurred by the Company, the Operating Partnership, the Advisor or any of their Affiliates in connection with the selection, evaluation, acquisition, origination, making or development of any Investments, whether or not acquired, including, without limitation, legal fees and expenses, travel and communications expenses, brokerage fees, costs of appraisals, nonrefundable option payments on property not acquired, accounting fees and expenses, title insurance premiums and the costs of performing due diligence.

  • Non-Cash Charges has the meaning specified in the definition of the term “Consolidated EBITDA”.

  • Transmission Charges means the charges payable to TSP by Long Term Transmission Customer(s) pursuant to the TSA, as adopted by the Appropriate Commission;

  • Bond Service Charges means principal, including mandatory sinking fund requirements for retirement of obligations, and interest, and redemption premium, if any, required to be paid by the authority on obligations.
