Additional Class A Notes definition

Additional Class A Notes has the meaning specified in Clause 2.1(e)(i) (Conditions to Issuance of Additional Issuer Notes) of the Issuer Facility Agreement.
Additional Class A Notes means the Atlas PhaRMASM Senior Secured 12.25% Notes due 2027 of the Issuer, if any, substantially in the form of Exhibit A to the Indenture, issued pursuant to Section 2.1(g) of the Indenture.
Additional Class A Notes means Additional Notes consisting of Class A Notes.

Examples of Additional Class A Notes in a sentence

  • Upon the issuance of any such Additional Class A Notes, the Class A Maximum Principal Amount shall be increased by the Class A Maximum Investor Group Principal Amount for any such Class A Investor Group or the amount of any such Class A Investor Group Maximum Principal Increase, as applicable.

  • At the occasion of the Optional Tap Issue, the Issuer may either enter into an amendment agreement in connection with the Class A Swap Agreement and the Class B Swap Agreement or enter into a new ISDA Master Agreement (including a schedule, credit support annex (for the Class A Notes) and a confirmation documenting the transaction entered into thereunder) in connection with respectively the Additional Class A Notes and the Additional Class B Notes.

  • The Additional Class A Notes shall have the same terms as the Original Class A Notes, except that the issuance price, the issuance date and the initial Payment Date may vary.

  • Notwithstanding the foregoing, the Additional Class A Notes shall be treated as a single class with the Original Class A Notes for all purposes hereunder and will rank pari passu in right of payment and security with the Original Class A Notes.

  • If the Issuer determines that any such Additional Class A Notes are not issued as part of such a “qualified reopening”, any such Additional Class A Notes will be required to have a CUSIP number that is different than the CUSIP number of the Original Class A Notes, and therefore, will not be fungible with the Original Class A Notes for U.S. federal income tax purposes.

  • If the Issuer determines that any Additional Class A Notes are issued as part of a “qualified reopening” for U.S. federal income tax purposes, such Additional Class A Notes will have the same CUSIP number as the Original Class A Notes.

  • There are no limitations on the use of proceeds from the issuance of any such Additional Class A Notes, including making distributions to the Equityholder.

  • The Class A Notes are also redeemable in whole at the applicable Redemption Prices by issuing additional rated notes or incurring loans at the direction of the Subordinated Noteholders acting by Ordinary Resolution on any Business Day falling on or after the expiry of the Non-Call Period pursuant to Condition 7(i) (Optional Redemption of Class A Notes using Additional Class A Notes or Loans).

  • In such a case, any reference in this Prospectus to the Class A Swap Counterparty shall be construed as including reference to any additional swap counterparty under an additional ISDA Master Agreement which may be entered into in connection with such Additional Class A Notes.

  • Any disagreement between CIW and Commissioners will normally be resolved at operational level.
