Additional Collateral Certificate definition

Additional Collateral Certificate means a certificate substantially in the form of Exhibit A‑2 hereto, with appropriate insertions and deletions or with such other changes as may be reasonably agreed to by the Agent and the Collateral Agent, and which certificate contains a description of the Railcars and related Leases which are to become Portfolio Railcars and Portfolio Leases, as the case may be.
Additional Collateral Certificate means each additional Collateral Certificate designated for inclusion as a Collateral Certificate by the applicable Transferor to the Trust pursuant to Section 2.12.
Additional Collateral Certificate shall have the meaning set forth in the Indenture. “Calculation Agent” shall have the meaning set forth in the Indenture.

Additional Collateral Certificate means any Collateral Certificate representing an interest in credit card receivables and issued by a Master Trust, which is pledged under this Indenture pursuant to an Assignment of Additional Assets concurrently with the transfer to the Note Issuance Trust pursuant to an Additional Asset Transfer Agreement.

Additional Collateral Certificate means a certificate substantially in the form of Exhibit A-3 hereto, with appropriate insertions and deletions or with such other changes as may be reasonably agreed to by the Agent and the Collateral Agent, and which certificate contains a description of the Railcars and related Leases which are to become Portfolio Railcars and Portfolio Leases, as the case may be. “Adjusted Eurodollar Rate” means with respect to any Loan held by any Lender, for each Interest Period, the quotient obtained (rounded upward, if necessary, to the next higher 1/100th of 1%) by dividing (a) LIBOR for such Interest Period by (b) 1.00 minus the Eurodollar Reserve Percentage. “Adjusted Eurodollar Rate Loan” means any Loan that bears interest at a rate determined by reference to the Adjusted Eurodollar Rate. “Adjusted Facility Amount” means the quotient of (i) the Committed Amount divided by (ii) the Maximum Advance Rate (expressed as a decimal). “Administrative Services Agreement” means the Second Amended and Restated Administrative Services Agreement, substantially in the form of Exhibit L hereto, dated as of May 29, 2009, between the Borrower and TILC. “Advance Rate” means, as of any Calculation Date, (a) with respect to any Portfolio Railcar which is subject to a Net Lease or a Full Service Lease as of such Calculation Date, the Maximum Advance Rate; (b) with respect to any Portfolio Railcar that has not been subject to a Net Lease or a Full Service Lease as of such Calculation Date for a period of: (i) less than or equal to 30 days, the Maximum Advance Rate; (ii) more than or equal to 31 days and less than or equal to 60 days, the Maximum Advance Rate minus 5.0%; (iii) more than or equal to 61 days and less than or equal to 90 days, the Maximum Advance Rate minus 10.0%; (iv) more than or equal to 91 days and less than or equal to 120 days, the Maximum Advance Rate minus 17.5%; or (v) more than or equal to 121 days, 50.00%; and (c) with respect to any Portfolio Railcar which is subject to an Eligible Lease to a Lessee who is then subject to any proceeding of the type described in Section 9.01(g), 50.00%;
Additional Collateral Certificate means a certificate substantially in the form of Annex II to the Security Agreement, with appropriate insertions and deletions and with such other changes as may be reasonably agreed to by the Agent, and which certificate contains a description of the aircraft (including but not limited to a description of the airframe and engines) and related leases which are to become Aircraft and Leases under this Agreement and the other Loan Documents.
Additional Collateral Certificate means each Investor Certificate (as defined in the Indenture) issued by a Master Trust (as defined in the Indenture) whose transferor or seller is the Transferor or an Affiliate of the Transferor that has been designated for inclusion to the Trust Assets as an Additional Collateral Certificate pursuant to Section 6.02.
