Additional Due Diligence Fees definition

Additional Due Diligence Fees means the due diligence fees paid by the applicable Collateral Pool Borrower to Lender with respect to each Substitute Mortgaged Property, as set forth in Section 8.03(b).

Examples of Additional Due Diligence Fees in a sentence

  • No Agent shall be deemed to have knowledge or notice of the occurrence of any Default or Event of Default hereunder unless such Agent has received notice from a Lender or ACEP referring to this Agreement, describing such Default or Event of Default and stating that such notice is a "notice of default".

  • Each Substitution Request shall be accompanied by the following: (i) the information required by the Underwriting Requirements with respect to the proposed Substitute Mortgaged Property and any additional information Lender reasonably requests; and (ii) the payment of all Additional Due Diligence Fees.

  • Due Diligence Fee means a payment of an annual fee equal to $800 due upon the date of this Agreement and $500 due upon each anniversary thereof so long as any Advance is outstanding or available hereunder.

  • On-going Due Diligence means regular monitoring of transactions in accounts to ensure that they are consistent with the customers’ profile and source of funds.

  • Customer Due Diligence (CDD) means a process which involves establishing the identity of a client, the identity of the client’s beneficial owners in respect of legal persons and monitoring all transactions of the client against the client’s profile;

  • Additional Payment has the meaning given in clause 11.1 (Right to repay the Facility early).

  • Inspection Fee means a fee payable to Lender or Loan Servicer for performing any inspection required by this Agreement in an amount not to exceed $500.00 per inspection.

  • Milestone Payment Date has the meaning set forth in Section 2.4(a).

  • Due Diligence Examination shall have the meaning set forth in Section 3.2.

  • Closing Fees means those fees required to be paid on the Closing Date pursuant to the Fee Letter.

  • Due Diligence means examinations, inspections, investigations, tests, studies, analyses, appraisals, evaluations and/or investigations with respect to the Property, the Documents, and other information and documents regarding the Property, including, without limitation, examination and review of title matters, applicable land use and zoning Laws and other Laws applicable to the Property, the physical condition of the Property, and the economic status of the Property.

  • Due Diligence Service Provider As defined in Section 12.13(l) of this Agreement.

  • Upfront Fees means, with respect to any Receivable, the sum of any fees charged by Holdings or the Receivables Account Bank, as the case may be, to a Receivables Obligor in connection with the disbursement of a loan, as set forth in the Receivables Agreement related to such Receivable, which are deducted from the initial amount disbursed to such Receivables Obligor, including the “Origination Fee” set forth on the applicable Receivable Agreement.

  • Reasonable payment means, with respect to professional and other technical services, a payment in an amount that is consistent with the amount normally paid for such services in the private sector.

  • Termination Fee has the meaning set forth in Section 7.02(a).

  • Additional Fees means, where applicable, those fees and charges for the Additional Goods/Services and additional costs and levies required from time to time and notified to you in advance, to provide adequately for the education and related activities and services provided to your Child/the Student, including but not limited to the costs of extra-curricular activities or special educational needs.

  • Additional Deposit shall have the meaning set forth in Section 2.2.2.

  • Reverse Termination Fee shall have the meaning set forth in Section 9.2(b).

  • Upfront Fee has the meaning specified in Section 2.07 hereof.

  • Placement Fee has the meaning given thereto in Section 2(a) hereof;

  • Initial Payment means the dollar amount specified as the “Initial Payment” in the applicable Purchase Agreement.

  • Acquisition Fees means the fee payable to the Advisor pursuant to Section 8.01 plus all other fees and commissions, excluding Acquisition Expenses, paid by any Person to any Person in connection with making or investing in any Property or other Permitted Investment or the purchase, development or construction of any Property by the Company. Included in the computation of such fees or commissions shall be any real estate commission, selection fee, Development Fee, Construction Fee, nonrecurring management fee, loan fees or points or any fee of a similar nature, however designated. Excluded shall be Development Fees and Construction Fees paid to Persons not Affiliated with the Advisor in connection with the actual development and construction of a Property.

  • Delta Payment means as it is described in this Agreement.
