Additional Share Amount definition

Additional Share Amount means, as to any Conversion Amount being converted in connection with a Change of Control, an amount equal to the present value of the difference between (i) Interest that, but for the applicable conversion, would have been paid to the Holder on such Conversion Amount from the Issuance Date through the Maturity Date and (ii) the amount of Interest already paid to the Holder through the applicable Conversion Date.
Additional Share Amount means, with respect to any given Adjustment Date, such aggregate number of shares of Common Stock equal to 100% of the aggregate number of shares of Common Stock then issuable upon conversion of the Preferred Shares issued (or to be issued) to the Holder (or the Holder’s designee) in such exercise of the Holder’s Preferred Warrant (as defined in the Securities Purchase Agreement) at the Alternate Conversion Price (as defined in the Certificate of Designations (as defined in the Securities Purchase Agreement)) as of such Adjustment Date (without regard to any limitations on conversion in the Certificate of Designations).
Additional Share Amount means a number of shares of Common Stock equal to the quotient of (x) ten million dollars ($10,000,000) minus the amount of the Cash Payment made by the Executive, divided by (y) the 60-Day VWAP, with any fractional shares rounded to the nearest whole number. For the avoidance of doubt, the Additional Share Amount will be zero if the amount of the Cash Payment equals ten million dollars ($10,000,000).

Examples of Additional Share Amount in a sentence

  • The Notice to be delivered by Parent shall set forth the Additional Share Amount for the Stockholder and each other Principal Stockholder subject to Voting Agreements.

  • Notwithstanding the prior sentence, in lieu of solely delivering the Share Amount, the Executive may, at his own discretion, deliver ten million dollars ($10,000,000) to the Company comprised of either (i) cash or (ii) a combination of cash and shares of Common Stock (any such cash payment made under (i) or (ii), the “Cash Payment”), with the number of any such shares of Common Stock owed equaling the Additional Share Amount, as that term is defined in Section 19 herein.


More Definitions of Additional Share Amount

Additional Share Amount means the lesser of: (x) 145,000; and (y) the number of shares of common stock of Voyager in excess of 29,874,145 which were outstanding immediately prior to the Effective Time and which (x) did not result in an adjustment, at prior to the Effective Time, to the number of shares of Common Stock to be issued under the Merger Agreement (which adjustments are set forth in Section 2.2(a) and Section 2.7 of the Merger Agreement), and (y) were surrendered for exchange pursuant to Section 2.3(b) of the Merger Agreement on or prior to the second anniversary of the date of this Warrant.
