If any Seller determines to undertake any Title Cure, such Seller shall have up to a thirty (30) day period after its receipt of any Initial Title Notice or Additional Title Disapproval Notice within which to complete such Title Cure, and the Closing Date shall be extended, at Sellers’ option, to allow for such thirty (30) day period.
Approval Notice means, with respect to any Eligible Loan Asset, the written notice, in substantially the form attached hereto as Exhibit A, evidencing the approval by the Administrative Agent, in its sole discretion, of the conveyance of such Eligible Loan Asset by the Transferor to the Borrower pursuant to the terms of the Purchase and Sale Agreement and the Loan Assignment by which the Transferor effects such conveyance.
Addition Notice With respect to the transfer of Subsequent Mortgage Loans to the Trust Fund pursuant to Section 2.08, a notice of the Depositor's designation of the Subsequent Mortgage Loans to be sold to the Trust Fund and the aggregate principal balance of such Subsequent Mortgage Loans as of the Subsequent Cut-off Date. The Addition Notice shall be given not later than three Business Days prior to the related Subsequent Transfer Date and shall be substantially in the form attached hereto as Exhibit P.
Title Objection shall have the meaning assigned thereto in Section 8.5.
Removal Notice shall have the meaning specified in Section 2.07(b).
Term SOFR Notice means a notification by the Administrative Agent to the Lenders and the Borrower of the occurrence of a Term SOFR Transition Event.
Property Notice means any order, notice, proposal, demand or other requirement issued by any competent authority (including the Landlord) which materially affects the Academy Trust’s ability to use the Land for the purposes of the Academy. Restrictions on Land transfer
Removal Notice Date means, with respect to the Removed Accounts designated hereby, , (which shall be a date on or prior to the fifth Business Day prior to the Removal Date).
CAFA Notice refers to the notice requirements imposed by 28 U.S.C. § 1715(b).
Termination Notice means the communication issued in accordance with this Agreement by one Party to the other Party terminating this Agreement;
Acquisition Notice has the meaning set forth in Section 2.6(a).
Title Objections has the meaning ascribed to such term in Section 6.2(a).
Closing Notice Has the meaning specified in the NPA. Company: Has the meaning specified in the first paragraph of this Trust Supplement.
Election Notice has the meaning set forth in Section 11.01(b).
improvement notice means the notice issued by the Authority to the Supplier pursuant to Clause 32.1.3 (Authority Remedies) which will detail how the Supplier shall improve the provision of the Goods and/or Services;
Objection Notice has the meaning set forth in Section 2.3(a) of this Agreement.
ROFO Notice is defined in Section 6.2(a).
First Offer Notice shall have the meaning set forth in Section 14.4(a).
Mandatory Purchase Notice means, in connection with the Mandatory Purchase of VRDP Shares, a notice substantially in the form attached to the VRDP Shares Purchase Agreement as Exhibit B, delivered by the Fund or the Tender and Paying Agent on behalf of the Fund to the Holders and the Liquidity Provider in accordance with the VRDP Shares Purchase Agreement specifying a Mandatory Purchase Date.
Reduction Notice has the meaning set forth in Section 1.3.
Title Review Period shall have the meaning set forth in Section 4.3.
Response Notice is defined in Section 14.3(b)(ii).
Selection Notice means a notice substantially in the form set out in Part II of Schedule 3 (Requests) given in accordance with Clause 9 (Interest Periods).
Special Termination Notice means the Notice of Special Termination substantially in the form of Annex VII to this Agreement.
Allocation Notice shall have the meaning assigned to such term in Section 11.14(i) hereof.
Investor Notice means written notice from an Investor notifying the Company and the selling Key Holder that such Investor intends to exercise its Secondary Refusal Right as to a portion of the Transfer Stock with respect to any Proposed Key Holder Transfer.
Call Option Notice means a written notice from the holder of the Call Option or the Administrator, as applicable, stating its desire to exercise the Call Option on the related Reset Date, delivered to each Clearing Agency, the Indenture Trustee, the Remarketing Agents, the Rating Agencies and, if the related class of Reset Rate Notes is then listed on the Luxembourg Stock Exchange, the Administrator will forward a copy to the Luxembourg Listing Agent (the contents of which are to be published in a leading newspaper having general circulation in Luxembourg).
