The Fund will furnish to the Underwriter a copy of each proposed Additional Written Offering Communication to be prepared by or on behalf of, used by, or referred to by the Fund and the Fund will not use or refer to any proposed Additional Written Offering Communication to which the Underwriter reasonably objects.
The Fund hereby acknowledges that the only information that the Underwriter has furnished to the Fund expressly for use in the Preliminary Prospectus, the Time of Sale Prospectus, the Prospectus or any Additional Written Offering Communication is the statement set forth in the first sentence of the third paragraph under the caption “Underwriter” in the Time of Sale Prospectus and the Prospectus (the “Underwriter Information”).
Any Additional Written Offering Communication prepared, used or referred to by the Company, when considered together with the Pricing Disclosure Package, at the time of its use did not contain an untrue statement of a material fact or omit to state a material fact necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading.
Except for the road show materials, if any, furnished to the Initial Purchasers before first use, the Company has not prepared, used or referred to, and will not, without the Initial Purchaser’s prior consent, prepare, use or refer to, any Additional Written Offering Communication.
Except for the Additional Written Offering Communications, if any, identified in Schedule II hereto, including electronic road shows, if any, furnished to you before first use, the Company and the Guarantors have not prepared, used or referred to, and will not, without your prior consent, prepare, use or refer to, any Additional Written Offering Communication.
