The parties hereto acknowledge that because the Adjacent Properties and the Property are contiguous to each other, it is desirable to have all properties under a common ownership and control.
As of the Measurement Date, to the knowledge of the AREH Selling Parties, the AREH Selling Parties have not received any written notice from any insurance carrier which has issued a policy of insurance with respect to the Adjacent Properties of any material defects or deficiencies or requesting the performance of any material repairs, alterations or other work with respect to the Adjacent Properties.
