Adjusted EBITDA Growth Rate definition

Adjusted EBITDA Growth Rate means, with respect to the two-year period covering the second and third calendar years in the Performance Period, the percentage by which the Compounded Annual Adjusted EBITDA for the second and third calendar years exceeds the Adjusted EBITDA of the first calendar year of the Performance Period; provided that if the Adjusted EBITDA for the first calendar year in the Performance Period was less than the total dollar amount required to achieve the Threshold Ratio to Adjusted EBITDA Performance Target in Schedule I attached hereto, the Adjusted EBITDA for the first calendar year of the Performance Period for purposes of this definition will be deemed to be the lowest dollar amount that was required to achieve the Threshold Ratio to Adjusted EBITDA Performance Target for such year; and provided further that, if the Adjusted EBITDA for such first calendar year exceeded the total dollar amount required to achieve the Maximum Ratio to Adjusted EBITDA Performance Target in Schedule I, the Adjusted EBITDA for the first calendar year of the Performance Period for purposes of this definition will be deemed to be the lowest dollar amount that was required to achieve the Maximum Ratio to Adjusted EBITDA Performance Target for such year. Notwithstanding the foregoing, unless otherwise determined by the Committee, if the Company (or one of its Subsidiaries) acquires a business during the Performance Period, then, for purposes of calculating the Adjusted EBITDA Growth Rate for 2024 and 2025, the Adjusted EBITDA for the preceding calendar year(s) in the Performance Period shall be adjusted to include the pro-forma Adjusted EBITDA of the acquired business from the time period of one year if the acquisition is made in 2024 Exhibit 10.53 and two years if the acquisition is made in 2025 prior to the acquisition date to the end of the immediately preceding calendar year. Additionally, to determine the EBITDA growth rate for the calendar year(s) in the Performance Period following the acquisition, the Adjusted EBITDA for the calendar year of the acquisition shall be adjusted to include pro-forma Adjusted EBITDA of the acquired business from January 1st to the day prior to the acquisition date. For the purposes of clarity, unless otherwise determined by the Committee, the performance of any acquisitions made by the Company during 2023 will be not be considered when calculating the Adjusted EBITDA Growth Rate for 2023.

Additionally, to determine the EBITDA growth rate for the calendar year immediately following the acquisition, the Adjusted EBITDA for the calendar year of the acquisition shall be adjusted to include pro-forma Adjusted EBITDA of the acquired business from January 1st to the day prior to the acquisition date. For the purposes of clarity, unless otherwise determined by the EXHIBIT 10.2 Non-Executive Form Committee, the performance of any acquisitions made by the Company during 2021 will be not be considered when calculating the Adjusted EBITDA Growth Rate for 2021.

Examples of Adjusted EBITDA Growth Rate in a sentence

  • All PRSUs that do not become Actual PRSUs shall be cancelled and be null and void on the date the Committee calculates the Adjusted EBITDA Growth Rate for the last calendar year in the Performance Period, which shall occur within sixty (60) days of the end of the Performance Period (the “Calculation Date”).
