Adjusted Shortfall Amount definition

Adjusted Shortfall Amount means the amount, if negative, equal to the difference of (a) the Final Working Capital, minus (b) the Estimated Working Capital, plus an amount equal to interest thereon at the rate per annum published on the Closing Date by The Wall Street Journal as the “prime rateat large U.S. money center banks from the Closing Date through and including the date of payment.
Adjusted Shortfall Amount means the amount, if negative, equal to the difference of (a) the Final Working Capital, minus (b) the Estimated Working Capital.
Adjusted Shortfall Amount means, in relation to an Interim Payment, subject to a minimum of zero, an amount equal to (x) the Minimum Notional Amount less (y) the Adjusted Outstanding Notional Amount calculated assuming the Interim Amount in respect of the relevant Interim Payment has been paid.
