Adjustment Balance definition

Adjustment Balance has the meaning set forth in Section 2.6.3.4(b).
Adjustment Balance has the meaning set forth in Section 2.6.3.4(b). “Advanced Spot Sales Inventory” has the meaning set forth in Schedule 2.6.3.2. “Affiliate” means, with respect to any specified Person, any other person which directly or indirectly through one or more intermediaries controls, or is controlled by, or is under common control with such specified Person. For the purposes of this definition, “control” (including, with correlative meanings, the terms “controlling,” “controlled by” and “under common control with”), as used with respect to any Person, means the possession, directly or indirectly, of the power to direct or cause the direction of the management or policies of such Person, whether through the ownership of voting securities, by agreement or otherwise. Notwithstanding the foregoing, for purposes of this Agreement, none of Sunoco Logistics Partners L.P. or any of its controlled affiliates shall be deemed to be “Affiliates” of the Seller. “Agreement” has the meaning set forth in the preface. “Antitrust Division” has the meaning set forth in Section 3.1.2. “Assets” has the meaning set forth in Section 2.1. “Assigned Contracts” has the meaning set forth in Section 2.1.7. “Assumed Environmental Liabilities” has the meaning set forth in Section 2.3.6. “Assumed Liabilities” has the meaning set forth in Section 2.3. “Balance Sheet Date” has the meaning set forth in Section 4.1.21.2. “Xxxx of Sale” has the meaning set forth in Section 2.9.1.3. “Books and Records” has the meaning set forth in Section 2.1.9. “Burlington Extension” has the meaning set forth in Section 6.9.3.2. “Business” means the business currently conducted by the Seller that relates primarily to the ownership, operation or use of the Facilities and the Assets. Examples of Adjustment Balance in a sentence

  • If the Adjustment Balance is greater than zero, the Buyer shall pay to the Seller an amount equal to the surplus by wire transfer of immediately available funds to such account or accounts of the Seller, as may be designated by the Seller.

  • Current Balance in relation to a Loan at any relevant date, means the aggregate principal balance of the Loan at such date (but avoiding double counting) including the following:

  • Net Adjustment Amount means an amount, which may be positive or negative, equal to the Closing Net Working Capital as finally determined pursuant to this Section 2.9 minus the Preliminary Net Working Capital as set forth on the Preliminary Closing Statement;

The adjusted rate will be published without undue delay in accordance with §12.

  • Account Balance means, with respect to a Participant, an entry on the records of the Employer equal to the sum of (i) the Deferral Account balance, (ii) the Company Contribution Account balance, and (iii) the Company Restoration Matching Account balance. The Account Balance shall be a bookkeeping entry only and shall be utilized solely as a device for the measurement and determination of the amounts to be paid to a Participant, or his or her designated Beneficiary, pursuant to this Plan.
