AFFILIATE of a Person means: (i) any other Person directly, or indirectly through one or more intermediaries, controlling, controlled by or under common control with such Person; (ii) any officer, director, partner, employer, or direct or indirect beneficial owner of any 10% or greater equity or voting interest of such Person; or (iii) any other Person for which a Person described in clause (ii) acts in any such capacity.
AFFILIATE of a Person means another Person who directly or indirectly controls, is controlled by, is under common control with or is a director or officer of, such Person. For purposes of this definition, "control" means the possession, directly or indirectly, of the power to vote five percent (5%) or more of the securities having ordinary voting power for the election of directors or the direct or indirect power to direct the management and policies of a business.
AFFILIATE of a Person has the meaning given to such term in Rule 12b-2 of the General Rules and Regulations under the Exchange Act, as in effect on the date of this Agreement; provided that, for purposes of this Agreement, the term "Affiliate" shall not include any Person that is an Exempt Person.

For the purposes of this Special Provision, the following terms shall have the following meanings: Affiliate of a person or entity means a person or entity that directly or indirectly through one or more intermediaries, controls or is controlled by, or is under common control with, the person or entity.

More Definitions of AFFILIATE of a Person
AFFILIATE of a Person means any Person that now or in the future controls, is controlled by, or is under common control with, the Person.
AFFILIATE of a Person means any person controlling, controlled by, or under common control with such person. "Control", including the terms "controlling", "controlled by", and "under common control with", means the possession of the power to direct or cause the direction of the management and policies of a person, whether through the ownership of voting securities, by contract, or otherwise.

AGENT means, at any time, Wellx Xxxgo Bank (Texas), National Association -- or its successor or assigns appointed under SECTION 13 -- acting as Agent for Lenders under the Loan Documents.
