Affiliated Assignee definition

Affiliated Assignee means a person or entity that, directly or indirectly, through one or more intermediaries, controls, is controlled by, or is under common control with, the person or entity specified, and (B) “control” (including the terms “controlled by” and “under common control with”) shall have the same meaning specified in Section 2.9(c) of this Agreement.

Affiliated Assignee has the meaning specified in Section 9.04(b)(ii)(B).

Affiliated Assignee shall have the meaning set forth in Section 8.9.

Examples of Affiliated Assignee in a sentence

• The rights to the Signage shall be personal to the Original Tenant, any Affiliated Assignee, or any other Transferee of Tenant’s entire interest in this Lease in connection with a Transfer of this Lease to which Landlord consents pursuant to Article 14 above and may not otherwise be transferred.

• The extension option set forth herein is personal to the original Tenant under this Lease and it shall not be included in any assignment of Tenant's interest in this Lease (except to an Affiliated Assignee) nor in any sublease of all or any portion of the Premises.

• Provided that Tenant is not then in material default under this Lease after expiration of any applicable cure period, Landlord hereby grants the Tenant named in this Lease (the "Original Tenant") or any Affiliated Assignee two (2) options ("Options") to extend the Term (or first Option Term, as applicable) for the entire Premises for a period of five (5) years each ("Option Terms"), which Options shall be exercisable only by written notice delivered by Tenant to Landlord as set forth below.

• The rights contained in this Article 32 shall be personal to the Original Tenant and any Affiliated Assignee and may only be exercised by the Original Tenant or any Affiliated Assignee (and not any other transferee) if the Premises is not subject to a sublease to other than an Affiliate of greater than twenty percent (20%) of the Premises as of the date of Tenant's receipt of the First Offer Notice.

More Definitions of Affiliated Assignee

Affiliated Assignee means an entity which is one hundred percent (100%) owned and Controlled by Purchaser or a Permitted Assignee.

Affiliated Assignee means any Purchaser, any Affiliate of any Purchaser and any Related Fund.

Affiliated Assignee means any assignee of Tenant's entire interest in this Lease, where such assignee is an Affiliate.

Affiliated Assignee means, at any time, any Person that at such time (a) owns, directly or indirectly, beneficially or of record, Equity Interests in the Borrower that, together with all the Equity Interests in the Borrower owned, directly or indirectly, beneficially or of record, by any Affiliate of such Person or any member of the group (within the meaning of the Securities Exchange Act of 1934 and the rules of the SEC thereunder) that such Person is a part of, represent more than 5.00% of the aggregate voting power represented by the issued and outstanding Equity Interests in the Borrower, (b) has a right to elect or appoint one or more members of the board of directors of the Borrower, whether such right is exercisable at such time or only upon the occurrence of any event or satisfaction of any condition, (c) is an Affiliate of the Borrower or any Subsidiary or of any Person described in clause (a) or (b) above or (d) is a director or an executive officer of any Person described in clause (a), (b) or (c) above.
