To the knowledge of the Company, each Affiliated Physician Group and other licensed providers of medical services who currently perform medical services for the Company and each Subsidiary under any Government Contract is duly licensed or certified by the appropriate Government Authority to perform medical services in the applicable state where such person performs such medical services to the extent required by Applicable Law or under any Government Contract.
The Recipient shall keep and maintain all non- financial records and documents relating to the Ministry, the Funding or otherwise to the Service Plan, including without limitation, the health records of each patient of the Recipient, but excluding all patient records in the care and control of an Affiliated Physician, in a confidential manner consistent with all applicable federal, provincial and municipal laws and regulations, and orders, rules and by-laws having the force of law.
Further, nothing in this Agreement shall create obligations for an Affiliated Physician that go beyond his or her professional competence or that, using the Affiliated Physician’s best efforts, are beyond the reasonable control of the Physician.
Except as set forth on Section 4.29 of the Company Disclosure Schedule, neither the Company, nor any Subsidiary, nor, to the knowledge of the Company, any Affiliated Physician Group has submitted any claim or billed any federal or state healthcare program or any other third-party payor for services rendered under any Government Contract, excluding any payments received from the respective correctional facilities and jails under the Government Contracts.
The Recipient is required to submit a Quality Improvement Plan annually to Health Quality Ontario and the Ministry of Health and Long Term Care; • The Recipient shall engage with its Affiliated Physician Group to participate in the development and implementation of the Recipient’s Quality Improvement Plan.
The Executive also agrees that, upon request of any duly authorized officer of the Company, the Executive shall disclose all passwords and passcodes necessary or desirable to enable the Company or any of its Affiliates or the Persons with whom the Company or any of its Affiliates or Affiliated Physician Practices do business to obtain access to the Documents and Third-Party Documents.
This warranty of materials, equipment and workmanship is separate from, independent of, and in addition to any other guarantees in this Agreement or any other warranties in this Agreement or required by the Project Documents.
Parent and each Parent Subsidiary and, to the knowledge of Parent, each Parent Affiliated Physician Group, as applicable, hold all licenses, permits, certificates of need and other regulatory approvals required or necessary to be applied for or obtained in connection with their business as presently conducted or as proposed to be conducted except where the failure to obtain or hold such license, permit, certificate of need or regulatory approval would not have a Material Adverse Effect on Parent.
Without limiting the generality of the foregoing, Parent and each of the Parent Subsidiaries and, to the Parent's knowledge, each Parent Affiliated Physician Group is in compliance with all Medicare and Medicaid and other third party provider agreements, billing procedures and billing requirements, except to the extent that such noncompliance would not a have a Material Adverse Effect on Parent.
In general, Jackson, Kaufman, and Hinerfeld assert that the Company has engaged in certain improper accounting practices, that the relationship between the Company and certain of the Affiliated Physician Groups violates federal and state law, and that certain of the Affiliated Physician Groups have charged the Medicare program amounts in excess of the cost of delivering certain services.
