Aftermarket Activity definition

Aftermarket Activity means transactions (including sales to third parties, including the U.S. Government) for products or services by Seller related to or based on the following: (a) creating a repair for a Buyer part; (b) designing a new part that is similar or identical to a Buyer Part; (c) comparing a Buyer Part design with another part design; (d) obtaining Parts Manufacturing Approval (PMA) from the Federal Aviation Administration (“FAA”) pursuant to Part 21.303 of the Federal Aviation Regulations; (e) obtaining approval from a Designated Engineering Representative (DER) under FAA Order 8110.4 to repair a Buyer Part; or (f) obtaining any other governmental approval to manufacture or repair a Buyer Part. Except pursuant to Buyer’s prior written permission, Seller shall not use (or assist others in using) Information to engage in Aftermarket Activity. Seller must obtain Buyer’s written permission before selling any Product to any third party purporting to purchase Products under authority of Buyer.
Aftermarket Activity means transactions (including sales to third parties, including the U.S. Government) for products or services by Supplier related to or based on the following: (a) creating a repair for a NuCon part; (b) designing a new part that is similar or identical to a NuCon Part; (c) comparing a NuCon Part design with another part design; (d) obtaining Parts Manufacturing Approval (PMA) from the Federal Aviation Administration (FAA)pursuant to Part 21.303 of the Federal Aviation Regulations; (e) obtaining approval from a Designated Engineering Representative (DER) under FAA Order 8110.4 to repair a NuCon Part; or (f) obtaining any other governmental approval to manufacture or repair a NuCon Part.

More Definitions of Aftermarket Activity

Aftermarket Activity means actions by Company: (a) to create a repair for a Honeywell Part or an Equivalent Part; or (b) to obtain any governmental approval to manufacture or repair a Honeywell Part or an Equivalent Part. Except as may be authorized pursuant to Honeywell’s prior written permission, Company may not use (or assist others in using) Honeywell Confidential Information to: (i) sell any Item, Honeywell Part, or Equivalent Part to anyone other than Honeywell; (ii) design or develop an Equivalent Part; or (iii) otherwise engage in Aftermarket Activity. If Company engages in Aftermarket Activity, then (i) Company shall have the burden to establish that it did not use Honeywell Confidential Information in its Aftermarket Activity, and (ii) within 30 days after receiving a written request from Honeywell, Company will provide to Honeywell written evidence of (a) proper receipt without restriction of any Honeywell Confidential Information used in the Aftermarket Activity, or (b) reverse engineering sufficient under the applicable law to prove that Honeywell Confidential Information was not used in the Aftermarket Activity; and (c) all documentation submitted in any application for Designated Engineering Representative (“DER”), Parts Manufacturing Authority (“PMA”) or other governmental approval. Evidence of reverse engineering may include, but is not limited to, financial records and timecards showing the breakdown of time and labor expended by each participant together with a signed affidavit from each participant declaring that no Honeywell Confidential Information was used in the Aftermarket Activity. With regard to any information provided by Company that is not otherwise publicly available or owned or licensed by Honeywell, Honeywell shall use such information only for purposes of determining Company’s compliance with this Agreement. Honeywell (or its duly authorized agents) may, upon not less than five (5) days prior written notice to Company, audit Company’s books and records (including, without limitation, drawings, contracts, licenses, and applications for PMA, DER, or similar governmental approval to manufacture or repair a Honeywell Part or an Equivalent Part) to verify Company’s compliance with its obligations under this section. Company will make such books and records available at no cost to Honeywell during normal working hours.
Aftermarket Activity means transactions (including sales to third parties, including the U.S. Government) for products or services by Seller related to or based on the following: (a) creating a repair for a Buyer part; (b) designing a new part that is similar or identical to a Buyer D TRAINING OF EMPLOYEES. Seller will maintain adequate processes to protect Buyer’s Property and Information from improper use and/or disclosure, and will train its employees appropriately to follow such processes. Seller’s failure to comply with the foregoing sentence shall constitute grounds for termination of this order by Buyer under Article 10.B. of these General Purchase Order Provisions.

  • Peak Market Activity means a measure of exposure for which credit is required, involving peak exposures in rolling three-week periods over a year timeframe, with two semi-annual reset points, pursuant to provisions of Tariff, Attachment Q, section V.A. Peak Market Activity shall exclude FTR Net Activity, Virtual Transactions Net Activity, and Export Transactions Net Activity. Peak Season:

  • FTR Net Activity means the aggregate net value of the billing line items for auction revenue rights credits, FTR auction charges, FTR auction credits, and FTR congestion credits, and shall also include day-ahead and balancing/real-time congestion charges up to a maximum net value of the sum of the foregoing auction revenue rights credits, FTR auction charges, FTR auction credits and FTR congestion credits.

  • Competitive Business Activity means:

  • Restricted Activity means directly or indirectly owning any interest in, managing, controlling, participating in, consulting with, rendering services for, or in any manner engaging in any business with any customer, supplier, competitor or other person having a business relation with the Company or any of its subsidiaries; provided however that the term "Restricted Activity" shall not include passive ownership of not more than 2% of the outstanding stock of any class of a corporation which is publicly traded, so long as Executive has no active participation in the business of that corporation.

  • Competing Activity means the providing of services or performance of activities for a Competitive Enterprise in a line of business that is similar to any line of business to which the Executive provided services to the Firm in a capacity that is similar to the capacity in which the Executive acted for the Firm while employed by the Firm, and (ii) “Competitive Enterprise” shall mean a business (or business unit) that (A) engages in any activity or (B) owns or controls a significant interest in any entity that engages in any activity, that in either case, competes anywhere with any activity in which the Firm is engaged up to and including the Executive’s Date of Termination. Further, notwithstanding anything in this Section 5, the Executive shall not be considered to be in violation of this Section 5 solely by reason of owning, directly or indirectly, any stock or other securities of a Competitive Enterprise (or comparable interest, including a voting or profit participation interest, in any such Competitive Enterprise) if the Executive’s interest does not exceed 5% of the outstanding capital stock of such Competitive Enterprise (or comparable interest, including a voting or profit participation interest, in such Competitive Enterprise).
