Agent Warrant means a non-transferable common share purchase warrant issued to an Agent entitling the holder thereof to acquire one Common Share of the Company at a price of $0.50 for a period of 18 months from the Closing of the Axe Financing. Agent Warrant is defined in the recitals to this Agreement and, in addition, includes (i) any new warrant or warrants issued upon the transfer of all or any portion of the Agent Warrant issued pursuant to the Senior Credit Agreement and (ii) any warrant or warrants issued upon the further transfer, division or combination of any such new warrant or warrants.
Agent Warrant means the five year noncancelable warrant to purchase Series B Convertible Preferred Stock issued to Agent by the Company on the date of the sale of the Series B Preferred Stock.
