Aggregate Redemption Amount definition

Aggregate Redemption Amount means the sum of (i) the aggregate Series A Preferred Redemption Amounts payable in respect of the Series A Preferred Shares issued and outstanding immediately prior to the Effective Time and (ii) the aggregate Series B Preferred Redemption Amounts payable in respect of the Series B Preferred Shares issued and outstanding immediately prior to the Effective Time.
Aggregate Redemption Amount means, in respect of the Notes, the Principal Amount of the Notes less any Prior Ranking Amounts which are outstanding on the Scheduled Maturity Date as determined by the Determination Agent in its sole discretion;
Aggregate Redemption Amount means an amount equal to (i) the net proceeds received by the Corporation from the IPO (including, for the avoidance of doubt and without limitation, any net proceeds received from the sale of shares of Class A Common Stock pursuant to any exercise of any underwriters’ overallotment option contained in the underwriting agreement entered into with the several underwriters in respect of the IPO), minus (ii) an amount reasonably determined by the Board to be an appropriate amount of funds to be retained by the Corporation for general corporate purposes and minus (iii) the Escrow Amount and minus (iv) an amount equal to U.S.$1,146,000,000.00.

Examples of Aggregate Redemption Amount in a sentence

  • In accordance with the Applicable MOU, the Secretary shall not be obligated to honor any Request for Redemption under any Applicable MOU for funds to be transferred on any specified date to the extent that the sum of (a) the dollar amount of such Request for Redemption plus (b) the applicable Net Aggregate Redemption Amount (as defined below) exceeds the corresponding Aggregate Redemption Limit as of such specified date.

  • Delivery to and receipt by the Depository of the Aggregate Redemption Amount in such a manner, shall be a full and complete discharge of the Company’s obligation to deliver the Aggregate Redemption Amount to the holders of Redeemable Shares.

More Definitions of Aggregate Redemption Amount

Aggregate Redemption Amount means the aggregate amount paid by Company to redeem shares of its stock during the period beginning October 18, 2010 and ending December 31, 2011, provided that in no event shall the Aggregate Redemption Amount exceed $5,000,000.
