For the avoidance of doubt, if the Company elects not to pursue (or is deemed to have elected not to pursue) an AMI Opportunity pursuant to the terms of the AMI Agreement, then Regency HIG (or any of its Affiliates) shall have the right to pursue such AIM Opportunity independently of the Partnership and the other Partners in accordance with the terms of the AMI Agreement.
