Annual Recurring Revenue definition

Annual Recurring Revenue means, as to any month, (a) contractually recurring revenue to be recognized in the next twelve (12) months, inclusive of At-Risk Recurring Revenue, but exclusive of (b) any revenue that is non-recurring, (including, without limitation, one-time installation fees, perpetual license fees, and non-recurring professional services fees).
Annual Recurring Revenue means, as of any date of determination, the sum of annualized contractually obligated revenues due to Borrower and its Subsidiaries from Recurring Revenue Contracts.
Annual Recurring Revenue means for any calendar quarter, the Borrower’s recurring revenue, annualized in the manner set forth on Schedule 1.

More Definitions of Annual Recurring Revenue

Annual Recurring Revenue or “ARR” means, for a Sale with a duration of: (A) one (1) year or longer, total Recurring Revenue, divided by the number of days in the Sale, multiplied by three hundred sixty-five (365); (B) shorter than one (1) year, total Recurring Revenue.
Annual Recurring Revenue is, as of any date of determination, with respect to each of Borrower’s Specified Price Plans, an amount equal to product of (a) the number of active customers with respect to each such Specified Price Plan, multiplied by (b) ARPU with respect to each such Specified Price Plan.
Annual Recurring Revenue means twelve (12) times the monthly Revenues, not generated by a one-off transaction.

Annual Recurring Revenue means, with respect to a Test Period, the sum of: (x) all revenues derived from software as a service and related recurring support services revenue for the last fiscal month in such Test Period multiplied by twelve (12), (y) the monthly average amount of revenues derived referral fees for software as a service and related recurring support services for the three fiscal months in such Test Period multiplied by twelve (12) and (z) the monthly average amount of revenues derived from merchant transaction fees for the three fiscal months in such Test Period multiplied by twelve (12), each as recognized in accordance with GAAP, but excluding the impact of any purchase accounting or other adjustment arising out of the consummation of the Closing Date Acquisition and historical or future acquisitions. “Anti-Terrorism Laws” shall have the meaning assigned to such term in Section 3.19. “Applicable ECF Percentage” shall mean, for any fiscal year of the Borrower commencing with the fiscal year ending December 31, 2025, (a) 50% if the Total Net Annual Recurring Revenue Leverage Ratio (after giving effect to (i) any prepayments or buybacks described in Section 2.10(f)(C) and (ii) any such ECF Payment Amount assuming a 50% Applicable ECF Percentage) as of the last day of such fiscal year is greater than 1.84 to 1.00, (b) 25% if the Total Net Annual Recurring Revenue Leverage Ratio (after giving effect to (i) any prepayments or buybacks described in Section 2.10(f)(C) and (ii) any such ECF Payment Amount assuming a 25% Applicable ECF Percentage) as of the last day of such fiscal year is equal to or less than 1.84 to 1.00 but greater than or equal to 1.74 to 1.00 and (c) 0% if the Total Net Annual Recurring Revenue Leverage Ratio (after giving effect to any prepayments or buybacks described in Section 2.10(f)(C)) as of the last day of such fiscal year is less than 1.74 to 1.00. For the avoidance of doubt, if, after giving effect to the parenthetical phrases in any of the foregoing sub- clauses more than one of the preceding sub-clauses would be applicable, the sub-clause with the highest percentage shall apply. “Applicable Margin” shall mean: (a) from and after the Closing Date, and until delivery of the financial statements for the first full fiscal quarter of the Borrower completed after the Closing Date pursuant to Section 5.01(b), (i) 4.00% per annum for ABR Loans and (ii) 5.00% per annum for Term SOFR Loans; and
Annual Recurring Revenue or “ARR” shall mean the amount of money actually received by Emplify for recurring Emplify Services that results from a Referral generated by Partner for services with annually recurring billable fees, less (i) any trade, commissions, or other discounts or allowances, and (ii) all federal, state and local taxes applicable to the sale.
Annual Recurring Revenue means the total subscription service payments paid or payable to the Company for one year (net of any discounts) contained in non-cancelable purchase orders issued by Motorola Solutions, Inc. to the Company prior to the Performance Vesting Date pursuant to the Subscription Service Reseller Agreement dated July 31, 2012 between Motorola Solutions, Inc. and the Company, and other written reseller agreements that may be entered into between Motorola Solutions, Inc. and the Company. Annual Recurring Revenue does not include one-time charges such as set-up fees. From the date of this warrant until the Performance Vesting Date, the Company will report Annual Recurring Revenue to Motorola Solutions, Inc. on at least a quarterly basis. The rights represented by this Warrant may be exercised to the extent vested in whole or in part at any time by delivery of the following to the Company at its address set forth above (or at such other address as it may designate by notice in writing to the Holder):
