Annualized Net Cash Flow definition

Annualized Net Cash Flow means, with respect to any Tower Site, the Net Cash Flow from such Tower Site during the full calendar months of ownership of such Tower Site by an Asset Entity, multiplied by 12 and divided by the number of full calendar months of ownership of such Tower Site by an Asset Entity.
Annualized Net Cash Flow. For any Measurement Quarter, the excess, if any of (a) the aggregate annualized Collections received during such Measurement Quarter in respect of all of the Financed Properties owned by the Borrowers during such Measurement Quarter over (b) the sum of (i) an amount equal to the annualized Operating Expenses in respect of such Financed Properties for such Measurement Quarter, (ii) the aggregate real estate taxes or other governmental assessments related to such Financed Properties payable during the related calendar year; (iii) the aggregate insurance premiums payable during the related calendar year necessary in order to maintain compliance with the Insurance Requirements (excluding premiums related to Non-Financed Properties if such premiums (12 months) are on deposit in the Insurance Reserve Account), in each case for the calendar year in which such Measurement Quarter occurs; provided that, (i) leasing commissions shall be amortized over the term of the applicable Lease for purposes of calculating Annualized Net Cash Flow and (ii) with respect to any Financed Property acquired by the Borrower or an Affiliate during the Measurement Quarter or which became a Leased Property, after the first day of the relevant Measurement Quarter, Annualized Net Cash Flow shall be calculated based on Estimated Net Cash Flow. Annualized Net Cash Flow shall be calculated pro forma for the addition or release of Financed Properties as if such addition or release had occurred on the first day of the applicable Measurement Quarter.
Annualized Net Cash Flow means, for any Tenant Site Asset, the Annualized Revenue for such Tenant Site Asset, less an amount equal to 1.75% of the Annualized Revenue for such Tenant Site Asset.

  • At any time, the percentage equivalent of a fraction, determined as of the last day of the most recently ended Fiscal Quarter, the numerator of which is equal to the Annualized Net Cash Flow for such Fiscal Quarter and the denominator of which is equal to the Advances Outstanding as of such last day of such Fiscal Quarter.

Annualized Net Cash Flow means, with respect to any Tower Site, the Net Cash Flow from such Tower Site during the full calendar month of ownership of such Tower Site by an Asset Entity most recently ended for which monthly financial statements have been required to be delivered pursuant to Section 7.5(c), multiplied by 12.
Annualized Net Cash Flow means the amount, on an accrual basis and annualized using the prior 24 calendar months, or such lesser number of months if services have not been provided under the Project Hospital Contract for at least 24 months, of the gross revenue payable to the Project LLC under the Project Hospital Contract, less (a) the cost of goods or services directly related to providing the services to the Project Hospital under the Project Contract (other than any amounts payable to CareView under the Project Services Subcontract Agreement or otherwise) and (b) any amount of the Shared Revenue Package reimbursed to the Project Hospital (as defined in the Project Hospital Contract).
