Selling Jurisdictions definition

Selling Jurisdictions means, collectively, each of the Qualifying Jurisdictions and may also include, the United States and any other jurisdictions outside of Canada and the United States as mutually agreed to by the Corporation and the Underwriters;
Selling Jurisdictions means all of the provinces of Canada, the United States and such other jurisdictions as the Agents and the Corporation may agree;
Selling Jurisdictions has the meaning assigned in the Terms;

  • The Underwriters will offer the Offered Securities for sale by the Corporation in the United States through one or more of their U.S. Affiliates pursuant to applicable exemptions from the registration requirements of U.S. Securities Act and applicable U.S. state securities laws, and in such other international Selling Jurisdictions on a private placement basis, in accordance with applicable Securities Laws in such other international Selling Jurisdictions.

  • The Underwriters will notify the Corporation when the Underwriters have ceased the distribution of the Offered Securities and, within 30 days after the Closing Date, will provide the Corporation, in writing, with a breakdown of the number of Offered Securities distributed (i) in each of the Qualifying Jurisdictions, and (ii) in any other Selling Jurisdictions.

Selling Jurisdictions means all of the provinces of Canada and such additional jurisdictions in Canada and elsewhere as may be determined by the Issuer; and “Selling Jurisdiction” means, in the case of any Subscriber, the province of Canada or other jurisdiction in which such Subscriber resides;
