Appointing Person definition

Appointing Person has the meaning set forth in the Parent Articles.
Appointing Person means a person specified by the Secretary of State under regulation 3 to appoint a local auditor(2);
Appointing Person means each of the CEO Appointing Person and the Lender Appointing Persons, in each case for so long as it has the power to designate a director pursuant to Article 19.

More Definitions of Appointing Person

Appointing Person has the meaning set forth in Section 5.3 of this Agreement. “Appointing Persons” shall mean all such Persons.
Appointing Person means TCO, TG for so long as the aggregate Percentage Interest held by Original Partner Affiliates and TTC Affiliates is not less than seven and 7/10ths percent (7.7%), determined by including the total number of Units of Partnership Interest over which Original Partner Affiliates and TTC Affiliates have Incentive Options to the extent such Incentive Options are vested, and Xxxx-Co for so long as Xxxx- Co has an interest in the Person that is the Manager and the aggregate Percentage Interest held by Original Partner Affiliates and TTC Affiliates is at least three percent (3%), determined by including the total number of Units of Partnership Interest over which Original Partner Affiliates and TTC Affiliates have Incentive Options to the extent such Incentive Options are vested; it being understood that inasmuch as the Partnership's partnership committee has been eliminated, Appointing Persons are only relevant for purposes of Section 13.11 regarding amendment of this Agreement.
