Approved Originator Jurisdiction definition

Approved Originator Jurisdiction means Canada, France, Germany, Hungary, Italy, The Netherlands, Portugal, Spain and any State of the U.S. and any other jurisdiction approved in writing by the Administrative Agent and each Purchaser Agent; provided that a jurisdiction shall not be an Approved Originator Jurisdiction unless all authorizations and approvals by all Official Bodies required in connection with this Agreement and the other Transaction Documents have been obtained and all opinions, certificates, amendments to the Transaction Documents and other documentation reasonably requested by the Administrative Agent or any Purchaser Agent have been delivered (such documentation anticipated to be substantially similar to the documentation required for Originators on the Closing Date, with any necessary country–specific adjustments).
Approved Originator Jurisdiction means the United States, Germany, the United Kingdom, France, Spain, Italy and any other jurisdiction approved in writing by each Committed Lender; provided that, to the extent required by the program documents for any Conduit Lender, no jurisdiction other than the United States shall be considered an "Approved Originator Jurisdiction" hereunder unless and until such Conduit Lender shall have received confirmation from each applicable Rating Agency to the effect that the addition of such jurisdiction as an Approved Originator Jurisdiction would not result in a reduction or withdrawal of the then current ratings of the Commercial Paper of such Conduit Lender.
Approved Originator Jurisdiction means Austria, Belgium, France, Germany, Italy and Spain and any other jurisdiction approved in writing by the Administrative Agent and the Required Lenders.

  • Partner Jurisdiction Financial Institution means (i) any Financial Institution established in a Partner Jurisdiction, but excluding any branch of such Financial Institution that is located outside the Partner Jurisdiction, and (ii) any branch of a Financial Institution not established in the Partner Jurisdiction, if such branch is located in the Partner Jurisdiction.
