Approved Petroleum Engineer definition

Approved Petroleum Engineer means any reputable firm of independent petroleum engineers as shall be selected by Borrower and approved by Administrative Agent, such approval not to be unreasonably withheld.

Approved Petroleum Engineer means Xxxxxxx Associates Limited or any other nationally recognized independent petroleum engineers selected by the Company.

Approved Petroleum Engineer means (a) XxXxxxxx and XxxXxxxxxxx, (b) Netherland, Xxxxxx & Associates, Inc., (c) Xxxxxx, Xxxxxxxxx & Associates, Inc., (d) Xxxxx Xxxxx Company Petroleum Consultants, L.P., and (e) any other independent petroleum engineers reasonably acceptable to the Administrative Agent.

• The Borrower shall submit any such request made by the Borrower to the Administrative Agent and each Lender and, at the time of such request, the Borrower shall (A) deliver to the Administrative Agent and each Lender an updated Engineering Report prepared either by the Borrower or any Approved Petroleum Engineer and (B) notify the Administrative Agent and each Lender of the Borrowing Base requested by the Borrower.

• In connection with any redetermination of the Borrowing Base under this Section 2.4(e), the Borrower shall provide Administrative Agent and the Lenders with such information regarding the Borrower’s and its Subsidiaries’ proved Oil and Gas Properties and production relating thereto as Administrative Agent or any Lender may reasonably request, including an updated Reserve Report prepared by the chief engineer of the Borrower or, if such position is vacant or does not exist, an Approved Petroleum Engineer.

• Each Reserve Report delivered hereunder shall be prepared by an Approved Petroleum Engineer.

• There are no statements or conclusions in any Reserve Report prepared by the chief engineer of the Borrower (and with respect to a Reserve Report prepared by an Approved Petroleum Engineer, to the knowledge of a Responsible Officer of the Borrower), which are based upon or include misleading information or fail to take into account material information regarding the matters reported therein.

• The Reserve Report as of January 1 of each year shall be prepared by one or more Approved Petroleum Engineers, and the July 1 Reserve Report of each year shall be prepared by or under the supervision of the chief engineer of the Borrower who shall certify such Reserve Report to be true and accurate and to have been prepared in accordance with the procedures used in the immediately preceding Reserve Report prepared by an Approved Petroleum Engineer.

Approved Petroleum Engineer means DeGolyer and MacNaughton, H.J. Gruy and Associates, Inc., Wright and Company, Inc., or one or more other reputable firms of independent petroleum engineers selected by the Borrower and approved by the Administrative Agent, which approval shall not be unreasonably withheld or delayed.

Approved Petroleum Engineer means any one or more of Netherland, Xxxxxx & Associates, Inc., Xxxxx Xxxxx Company, Xxxxxxxxxx Petroleum Consultants, Inc., Xxxxxx and Click, Inc., or such other reputable firm(s) of independent petroleum engineers as shall be approved by Required Banks and, as to oil and gas properties aggregating not more than twenty percent (20%) of the total value of Borrower's and its Restricted Subsidiaries' oil and gas properties (based on the Recognized Value), Borrower's in-house staff shall be deemed an Approved Petroleum Engineer.

Xxxxxxxx and Associates, Inc., or any other reputable firm of independent petroleum engineers as shall be selected by Borrower and approved by Required Banks, such approval not to be unreasonably withheld.

Approved Petroleum Engineer means Lee Keeling & Associates, Netherland Sewell & Associates, Inc., Ryder Scott Petroleum Consultants or any other reputable firm of independent petroleum engineers selected by the Issuer.

Approved Petroleum Engineer means MHA Petroleum Consultants, Inc. or another independent petroleum engineer proposed by the Borrower and reasonably acceptable to the Administrative Agent.

Approved Petroleum Engineer means (a) Netherland, Sewell & Associates, Inc., (b) DeGolyer and MacNaughton, (c) Cawley,Gillespie & Associates, Inc., (d) Ryder Scott Company Petroleum Consultants, L.P. and (e) any other reputable firm of independent petroleum engineers as shall be selected by the Borrower and approved by the Administrative Agent, such approval not to be unreasonably withheld, conditioned or delayed.
