Approving Person definition

Approving Person means any of the following four Persons: the Series A Directors, the Series A-1 Director appointed by Carlyle (or Carlyle in lieu of the Series A-1 Director appointed by Carlyle) and the Series A-1 Director appointed by GS (or GS in lieu of the Series A-1 Director appointed by GS).
Approving Person means the Chief Executive Officer of Merchants Bank of Indiana; provided, however, if at any time Employee holds the office of Chief Executive Officer of Merchants Bank of Indiana, the Board of Directors of Merchants Bancorp will act as the Approving Person.
Approving Person is defined in Section 2(a) of the Issuing and Paying Agreement.

  • In the event that the Approving Person does not provide notification to the Requesting Person within thirty (30) days from the date of receipt of notice sent pursuant to Section 15.11.1, then the Approving Person shall be deemed to have granted consent or approval.

The term “Controlling Persons” shall be interpreted in a manner consistent with the Financial Action Task Force Recommendations.

  • Investment Person means all Portfolio Managers of Loomis Sayles and other Advisory Persons who assist the Portfolio Managers in making and implementing investment decisions for an Investment Company or other client of Loomis Sayles, including, but not limited to, designated Research Analysts and traders of Loomis Sayles. A person is considered an Investment Person only as to those client accounts or types of client accounts as to which he or she is designated by Personal Trading Compliance or the Chief Compliance Officer as such. As to other accounts, he or she is simply an Access Person.

  • Disinterested Shareholder means a shareholder that is not an Insider to whom options may be granted under the Plan and they are not an Associate of any Insider.

  • Disinterested Person means a director who has not, during the period that person is a member of the Committee and for one year prior to commencing service as a member of the Committee, been granted or awarded equity securities pursuant to this Plan or any other plan of the Company or any Parent, Subsidiary or Affiliate of the Company, except in accordance with the requirements set forth in Rule 16b-3(c)(2)(i) (and any successor regulation thereto) as promulgated by the SEC under Section 16(b) of the Exchange Act, as such rule is amended from time to time and as interpreted by the SEC.

  • Parent Superior Proposal shall have the meaning set forth in Section 7.4(g).
