Arch Europe definition

Arch Europe means Arch Insurance (UK) Limited, a private company limited by shares incorporated under the laws of England and Wales.
Arch Europe has the meaning given in Subclause 14.2;

Examples of Arch Europe in a sentence

  • Any payment by Arch Europe or other circumstance which operates to toll any statute of limitations as to Arch Europe shall operate to toll the statute of limitations as to the Parent Borrower.

  • Additionally, the Parent Borrower unconditionally and irrevocably guarantees the payment of any and all of the Guaranteed Obligations of Arch Europe hereunder to the Guaranteed Creditors whether or not due or payable by Arch Europe upon the occurrence of any of the events specified in Section 8.05 with respect to Arch Europe, and unconditionally promises to pay such indebtedness to the Guaranteed Creditors, or order, on demand, in lawful money of the United States.

  • Prior to the transfer by the Parent Borrower of any note or negotiable instrument evidencing any of the indebtedness of Arch Europe to the Parent Borrower, the Parent Borrower shall xxxx such note or negotiable instrument with a legend that the same is subject to this subordination.

  • All staff in the Arch Group are employed by Arch Europe Insurance Services Limited (“AEIS”) and Arch Underwriting Europe Limited (“AUEL”), both Arch group companies.

  • If any or all of the Guaranteed Obligations of Arch Europe to the Guaranteed Creditors becomes due and payable hereunder, the Parent Borrower unconditionally promises to pay such indebtedness to the Guaranteed Creditors, or order, on demand, together with any and all expenses which may be incurred by the Guaranteed Creditors in collecting any of the Guaranteed Obligations.

  • The obligations of the Parent Borrower under this Article XII are independent of the obligations of any other guarantor, any other party or Arch Europe, and a separate action or actions may be brought and prosecuted against the Parent Borrower whether or not action is brought against any other guarantor, any other party or Arch Europe and whether or not any other guarantor, any other party or any Guaranteed Party be joined in any such action or actions.

  • Notwithstanding anything to the contrary contained herein, any guaranty provided under this Agreement or any other Credit Document will continue to be effective or be reinstated, as the case may be, if at any time any payment of any Guaranteed Obligation is rescinded or must otherwise be returned by the Guaranteed Creditors upon the insolvency, bankruptcy or reorganization of Arch Europe or otherwise, all as though such payment had not been made.

  • It is not necessary for the Guaranteed Creditors to inquire into the capacity or powers of Arch Europe or the officers, directors, partners or agents acting or purporting to act on their behalf, and any Guaranteed Obligations made or created in reliance upon the professed exercise of such powers shall be guaranteed hereunder.

  • As of the Closing Date, ACUS, ARL, MI and Arch Europe are not required to deliver quarterly Statutory Statements.

  • Europe means the European Union, the European Economic Area and/or their member states, Switzerland and the United Kingdom.

  • Portugal when used in a geographical sense comprises the territory of the Portuguese Republic in accordance with the International Law and the Portuguese legislation;

  • India means the territory of India and includes the territorial sea and airspace above it, as well as any other maritime zone in which India has sovereign rights, other rights and jurisdiction, according to the Indian law and in accordance with international law, including the U.N. Convention on the Law of the Sea;

  • Asia means Afghanistan, Australia, Bangladesh, Bhutan, Brunei, Cambodia, China, Hong Kong, India, Indonesia, Japan, Kazakhstan, Kyrgyzstan, Laos, Macau, Malaysia, Maldives, Mongolia, Myanmar, Nepal, New Zealand, North Korea, Pakistan, the Philippines, Singapore, South Korea, Sri Lanka, Taiwan, Tajikistan, Thailand, Timor-Leste, Turkmenistan, Uzbekistan, and Vietnam.

  • Steel Products means products rolled, formed, shaped, drawn, extruded, forged, cast, fabricated or otherwise similarly processed, or processed by a combination of two or more or such operations, from steel made by the open heath, basic oxygen, electric furnace, Bessemer or other steel making process.

  • EUWA means the European Union (Withdrawal) Act 2018, as amended.

  • North America means the United States, Canada and Mexico.

  • UK means the United Kingdom of Great Britain and Northern Ireland.

  • Spain means the Kingdom of Spain.

  • Crown means the government of the United Kingdom (including the Northern Ireland Assembly and Executive Committee, the Scottish Executive and the National Assembly for Wales), including, but not limited to, government ministers and government departments and particular bodies, persons, commissions or agencies from time to time carrying out functions on its behalf;

  • Motorsport Australia means the Confederation of Australia Motor Sport Ltd. trading as Motorsport Australia;

  • Harbour Master means the ABP Harbour Master or Dock Master for the Port (as appropriate) or their authorised representative;

  • Ireland means the Republic of Ireland.

  • LHSIA means the Local Health System Integration Act, 2006, and the regulations made under it, as it and they may be amended from time to time;

  • HSBC Group means HSBC Holdings plc, its affiliates, subsidiaries, associated entities and any of their branches and offices (together or individually), and “member of the HSBC Group” has the same meaning.

  • DBSA means the Development Bank of Southern Africa Limited.

  • Argentina means the Republic of Argentina.

  • Sweden means the Kingdom of Sweden and, when used in a geographical sense, includes the national territory, the territorial sea of Sweden as well as other maritime areas over which Sweden in accordance with international law exercises sovereign rights or jurisdiction;

  • Malta means the Island of Malta, the Island of Gozo and the other islands of the Maltese Archipelago, including the territorial waters thereof;

  • ACCC means the Australian Competition and Consumer Commission.

  • Xxxxxxx Group means (a) any member of the Xxxxxxx Family and (b) any Related Person of any such member.

  • third-country national means any person who is not a citizen of the Union within the meaning of Article 17(1) of the Treaty;

  • Outside North America For holders located outside North America, present the certificates(s) and/or document(s) that require a guarantee to a local financial institution that has a corresponding Canadian or American affiliate which is a member of an acceptable Medallion Signature Guarantee Program. The corresponding affiliate will arrange for the signature to be over-guaranteed. The signature(s) of the transferor(s) must correspond with the name(s) as written upon the face of this certificate(s), in every particular, without alteration or enlargement, or any change whatsoever. The signature(s) on this form must be guaranteed by an authorized officer of Royal Bank of Canada, Scotia Bank or TD Canada Trust whose sample signature(s) are on file with the transfer agent, or by a member of an acceptable Medallion Signature Guarantee Program (STAMP, SEMP, NYSE, MSP). Notarized or witnessed signatures are not acceptable as guaranteed signatures. The Guarantor must affix a stamp bearing the actual words: “SIGNATURE GUARANTEED”, “MEDALLION GUARANTEED” OR “SIGNATURE & AUTHORITY TO SIGN GUARANTEE”, all in accordance with the transfer agent’s then current guidelines and requirements at the time of transfer. For corporate holders, corporate signing resolutions, including certificate of incumbency, will also be required to accompany the transfer unless there is a “SIGNATURE & AUTHORITY TO SIGN GUARANTEE” Stamp affixed to the Form of Transfer obtained from an authorized officer of the Royal Bank of Canada, Scotia Bank or TD Canada Trust or a “MEDALLION GUARANTEED” Stamp affixed to the Form of Transfer, with the correct prefix covering the face value of the certificate.

  • HKMA means the Hong Kong Monetary Authority;

  • Major European Countries means France, Germany, Italy, Spain and the United Kingdom.

  • Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.
