Arrangement Resolutions definition

Arrangement Resolutions means the resolutions of the Shareholders and Noteholders approving the Arrangement considered at the Shareholders’ and Noteholders’ Meeting, respectively.

Arrangement Resolutions means the special resolutions of the Great Bear Shareholders to approve the Arrangement, as required by the Interim Order and the BCBCA;

Arrangement Resolutions means the special resolutions passed by the holders of the LIPO Canada Shares and LIPO Canada Options at the LIPO Canada Meeting and the special resolutions passed by the holders of the LIPO USA Shares and LIPO USA Options at the LIPO USA Meeting;

Examples of Arrangement Resolutions in a sentence

• No holder of BHC Common Shares or B+L Common Shares, as the case may be, will be entitled to exercise BHC Dissent Rights or B+L Dissent Rights, as the case may be, with respect to such BHC Common Shares or B+L Common Shares if such shareholder votes (or instructs or is deemed, by submission of any incomplete or incorrectly completed proxy, to have instructed his, her or its proxyholder to vote) in favour of the BHC Arrangement Resolution or the B+L Arrangement Resolutions, as the case may be.

• Notwithstanding any prior approvals by the Court or by Red Lake Shareholders, the Board of Directors may decide not to proceed with the Arrangement and to revoke the Arrangement Resolutions at any time prior to the Effective Time, without further approval of the Court or the Red Lake Shareholders.

• YGC and Queenstake agree that they will each solicit proxies for the approval of the Arrangement Resolutions in accordance with the Joint Circular and the Interim Order.

• The Parties acknowledge that Nevada King will apply to and obtain from the Court, pursuant to Part 9, Division 5 of the BCBCA, the Interim Order providing for, among other things, the calling and holding of the Nevada King Meeting for the purpose of considering and, if deemed advisable, approving and adopting the Arrangement Resolutions.

• Provided all necessary approvals for the Arrangement Resolutions are obtained from the Cervus Unitholders and the Vasogen Shareholders, and the other conditions herein are satisfied or waived as the case may be, each of Cervus and Vasogen will submit the Arrangement to the Court and jointly apply for the Final Order.

Arrangement Resolutions means the special resolutions of the Vizsla Silver Shareholders to approve the Arrangement, as required by the Interim Order and the BCBCA;

Arrangement Resolutions means the Preferred Shareholder Arrangement Resolution and the Unitholder Arrangement Resolution.
