Arrangement Resolutions means the resolutions of the Shareholders and Noteholders approving the Arrangement considered at the Shareholders’ and Noteholders’ Meeting, respectively.

• The Novamind Shareholders shall have approved the Novamind Arrangement Resolutions in accordance with the Interim Order and approved or consented to such other matters as Numinus or Novamind shall consider necessary or desirable in connection with the Arrangement in the manner required thereby.
