Assigned Copyrights definition

Assigned Copyrights means: (a) all Copyrights in and to the Assigned Technology and other copyrightable works identified in Exhibit A; (b) all renewals and extensions thereof; and (c) all rights with respect to such Copyrights.
Assigned Copyrights means the issued copyrights and copyright applications, in each case, listed on Schedule 2.1(a) attached hereto.
Assigned Copyrights means the Copyrights set forth on Schedule D hereto and owned as of the Assignment Effective Date by Assignor (or such of its Affiliates identified on Schedule D hereto as the assignor with respect to such Copyrights) that are included in the SpinCo Intellectual Property and subject to a registration or application.

Examples of Assigned Copyrights in a sentence

  • Notwithstanding anything to the contrary in this Agreement, recordation or registration of any document evidencing the assignment of the Assigned Copyrights or Assigned Software from RRD to DFS shall be DFS’s sole responsibility and at its sole cost and expense, provided that RRD agrees to reasonably cooperate with DFS in connection with such recordations or registrations, at DFS’s sole cost and expense.

  • Notwithstanding anything to the contrary in this Agreement, recordation or registration of any document evidencing the assignment of the Assigned Copyrights or Assigned Software from RRD to LSC shall be LSC’s sole responsibility and at its sole cost and expense, provided that RRD agrees to reasonably cooperate with LSC in connection with such recordations or registrations, at LSC’s sole cost and expense.

  • DFS will reimburse RRD for any and all out-of-pocket costs and expenses (including reasonable attorneys’ fees) incurred by RRD or any of its Group Companies, or any of its or their directors, officers, agents or employees, in connection with (i) the enforcement or licensing of any of the Assigned Copyrights or Assigned Software by or on behalf of DFS or any of its Group Companies, or (ii) any Action brought against or in respect of the Assigned Copyrights or Assigned Software after the Effective Date.

  • Each Party shall execute and deliver any additional documents and instruments and shall do any and all such other things as may be reasonably required to perfect or otherwise implement the assignment of the Assigned Copyrights pursuant to this Agreement.

  • LSC will reimburse RRD for any and all out-of-pocket costs and expenses (including reasonable attorneys’ fees) incurred by RRD or any of its Group Companies, or any of its or their directors, officers, agents or employees, in connection with (i) the enforcement or licensing of any of the Assigned Copyrights or Assigned Software by or on behalf of LSC or any of its Group Companies, or (ii) any Action brought against or in respect of the Assigned Copyrights or Assigned Software after the Effective Date.


More Definitions of Assigned Copyrights

Assigned Copyrights means the Unregistered Intellectual Property Rights identified in Schedule 1 and exclusively used in the Business at the time of Closing Date;
Assigned Copyrights means all of the (i) Copyright registrations and unregistered Copyrights owned by of any Seller Party as of the Initial Closing Date that are for the Assigned Copyright Materials or the Assigned Software, and (ii) other Copyrights owned by any Seller Party as of the Initial Closing Date that were created by a Business Employee, including the Copyrights set forth on Schedule 1.1(h) of the Seller IPA Disclosure Schedule; provided that, for the avoidance of doubt, the Assigned Copyrights do not include any copyright registrations or unregistered copyrights for Software other than Assigned Software.
Assigned Copyrights means the copyrights specifically set forth in the ------------------- Copyright Assignment.
Assigned Copyrights means the copyrights in the Field owned by BE as of the date of this Agreement, whether or not registered, any registrations or renewals, or extensions thereof, all rights to damages for past, present, or future infringement, and all rights therein provided by international conventions or treaties.
Assigned Copyrights means those United States and foreign copyrights, including any and all registrations, applications for registration, common law rights, restoration rights, and all other rights related thereto, other than the Retained Copyrights, that are owned by Collagen or the Collagen Group as of the Effective Date, or which Collagen or any member of the Collagen Group has the right to assign to Technologies hereunder.
Assigned Copyrights means all of Lilly’s copyright rights in the Territory in and to (i) all materials comprising the NDAs in any media (including information regarding any in-process label changes) (the “NDA Materials”); (ii) all materials comprising the Books and Records; and (iii) any and all package inserts, advertising, promotional and informational materials and sales or other manuals which are or were used by Lilly or its Affiliates in connection with the Activities on or prior to the Effective Date within the Territory (the “Marketing Materials”) (excluding any copyright rights in Lilly-owned trademarks, logos or designs or trademarks, logos or designs licensed by Lilly other than those trademarks, logos or designs expressly assigned or licensed to Advancis pursuant to the terms hereof). Assigned Copyrights means the Copyrights as owned by Pitney Xxxxx and used solely within the Office Systems business to be transferred to Office Systems on a quitclaim basis pursuant to the terms of this Agreement.
