Participant will utilize only HIE Informational Materials made available by CRISP and any additional materials developed Participant that are approved in advance by CRISP.
The Informational Materials shall not be deemed a representation of the state of affairs of the Property or constitute an indication that there has been no change in the business or affairs of the Property since the date of the preparation of the Informational Materials.
During the term of this Agreement, Advisor may use the Betterment name, refer to Betterment, describe Betterment and/or describe or characterize the duties of Betterment hereunder in Betterment Informational Materials under the following circumstances: (x) strictly as necessary to satisfy disclosure requirements under applicable rules, laws, and/or regulations, or (y) otherwise as approved in writing by Betterment prior to such use, reference, descriptions or characterization.
Commission, at its sole discretion, may elect to treat as a disallowed cost the costs of any Informational Materials that Contractor fails to turn over to Commission.
Neither the Owner nor ACG make any representations or warranties, expressed or implied, as to the accuracy or completeness of the Informational Materials or their contents and no legal liability is assumed or justified with respect thereto.
