Assigned Software definition

Assigned Software means software identified as such in paragraph 4 of the Order Form;]

Assigned Software means the software programs listed on the attached Schedule 2.1(b), in both source code and object code forms, together with all associated documentation relating to the design and maintenance of such software programs, in each case as such items exist as of the Effective Date, and including any copyright registrations and registration applications associated with any of the foregoing.

Examples of Assigned Software in a sentence

  • The Supplier hereby assigns to the Customer, with full title guarantee, title to and all rights and interest in the Assigned Software or shall procure that the first owner of the Assigned Software assigns it to the Customer on the same basis.

  • If requested to do so by the Customer, the Supplier shall without charge to the Customer execute all documents and do all such further acts as the Customer may require to perfect the assignment under paragraph 5.1 or shall procure that the owner of the Assigned Software does so on the same basis.

  • The transfer of the Assigned Software shall be subject to all prior written agreements (or replacement agreements thereof) between Seller, its predecessors (including AT&T Corp.

  • The assignment under paragraph 5.1 shall either take effect on the Commencement Date or as a present assignment of future rights that will take effect immediately on the coming into existence of the relevant Assigned Software, as appropriate.

  • With regard to any OSS that is contained within or used in conjunction with the Assigned Software, SpinCo (on behalf of itself and each other member of the SpinCo Group) acknowledges that the SpinCo Group’s rights with respect to OSS shall be governed by the respective license associated with each such OSS program.


More Definitions of Assigned Software

Assigned Software means the Software listed in Section 1.01(b) of the Disclosure Schedule.
Assigned Software means (i) the SpinCo Software Programs, (ii) the SpinCo Research Assets and (iii) any other Software owned by the Parent Group or the SpinCo Group as of immediately prior to the Distribution that was solely developed in the conduct of, or acquired solely for use in, the SpinCo Business at any time prior to the Distribution Date, in each case, excluding Common Code, Parent JDK, Parent JRE, Parent Commercial Programs, or Internal Tools. A list containing registered Copyrights relating to the Assigned Software is set forth in Annex C. For the avoidance of doubt, “Assigned Software” shall not include any Third Party Commercial Software or OSS.
Assigned Software means the Code and associated Documentation (including Code and associated Documentation constituting or associated with software design tools, FPSC design kits, software for internal development tools, test software, but excluding the Code and associated Documentation constituting the IP Cores licensed hereunder) that is (i) owned by Seller or its Related Companies, and currently used primarily for the purpose of operating the FPGA/FPSC Business, or (ii) identified in Appendix B to this Agreement.

Assigned Software means any Software owned in whole or in part by any member of the Demand Media Group, and which is intended to be used primarily in, or that primarily relates to, the Domain Services Business, including, without limitation, the Software listed on Schedule 3.
Assigned Software means the Code and associated Documentation owned by Seller and currently used primarily for the purpose of operating the ORiNOCO Business as of the Effective Date, as identified in Appendix B to this Agreement.
Assigned Software means all software identified in Schedule D, attached hereto as part of this IPAL Agreement, including, without limitation, such software’s source code.
