Assigned Government Contract definition

Assigned Government Contract means all Government Contracts that (a) are for an amount in excess of Five Hundred Thousand Dollars ($500,000), or (b) pursuant to the terms of Section 5.22 hereof, are required to be subject to an Instrument of Assignment and Notice of Assignment of Claims.
Assigned Government Contract means all Government Contracts (a) pursuant to which any Loan Party expects to receive revenue in any twelve month period of in excess of $1,000,000 or (b) that are otherwise required, pursuant to the terms of Section 5.15, to be subject to an Instrument of Assignment and Notice of Assignment of Claims.
Assigned Government Contract means each Government Contract entered into by any Asset Seller and primarily related to the Business, including those set forth on Section 4.13(a)(i) of the Company Letter.

  • In connection therewith, the Buyer shall perform on behalf of the Seller all of the Seller’s obligations and satisfy all of the Seller’s Liabilities under such Assigned Government Contract, and the Seller shall remit to the Buyer all payments it receives under such Assigned Government Contract with respect to obligations performed by the Buyer.
