Authorized Store definition

Authorized Store means a store (A) that is authorized by Seller or its Affiliates pursuant to a license agreement, an operating agreement, or otherwise to market or sell one or more Prohibited Products, or (B) to which Seller or its Affiliates sell products. “Exclusive Merchandise” means the following merchandise identified by the “Kenmore” name: clothes washers; clothes dryers; dishwashers; ranges; and full-size refrigerators. “MicroSA” means a Micropolitan Statistical Area (as defined by the United States Office of Management and Budget). “Prohibited Products” means Exclusive Merchandise, freezers, built-in cooking, lawn mowers and tractors, and the Products in the following KCD-Branded Product Categories: Handtools & Mechanics Tools; Power Tools; and Garage & Storage.

Authorized Store means any third-party store that has been officially appointed by Xxxxxxx to sell or make Ableton Products available to You.

  • Staples will not Price Match individual “quotes” provided by any other Authorized Store.

  • The promotional mate- rials may contain the words "Store Closing Sale," "Total Inventory Clearance Sale," "Total Liquidation Sale," "Bankruptcy Sale" and "Bankruptcy Court Authorized Store Closing Sale" and only such other similar descriptive terms approved by the Debtors and must contain a reference to the specific Store locations.
