Automatic Transferred Employees definition

Automatic Transferred Employees means those Business Employees where local employment Laws, including but not limited to the Transfer Regulations, provide for an automatic transfer of employees upon the transfer of a business as a going concern and such transfer occurs by operation of Law.

Automatic Transferred Employees means those Business Employees with respect to whom local employment Laws, including the Transfer Regulations, require an automatic transfer of employment, employer substitution or similar method of transfer to Arion or any of its Affiliates in connection with the Closing, excluding those individuals that would have otherwise been an Automatic Transferred Employee but who object to the automatic transfer of their employment, consistent with applicable Law, to Arion or its Affiliates by operation of Law.

  • In accordance with applicable Laws, including the Transfer Regulations, the employment of the Automatic Transferred Employees will transfer to the applicable Company Employer effective as of immediately following the Closing (or such later date as may be required by applicable Law or otherwise agreed upon by Trimble and AGCO).

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Affected employee means an employee who would be affected by the grant or denial of a variance, or any one of the employee’s authorized representatives, such as the collective bargaining agent.

  • Retained Employees has the meaning set forth in Section 6.1.1.

  • Hired Employees has the meaning set forth in Section 6.1(a).

  • Business Employees has the meaning set forth in Section 4.10(a).

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Business Employee means any individual employed by Seller in or in connection with the Business.

  • Hired Employee has the meaning set forth in Section 6.1.6.

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Employee Transfer Date means in respect of any particular Transferring Employee the date on which the part of the Services to which they are assigned transfers from the Previous Contractor to the Contractor;

  • Active Employee means a contributing member of the TRS who is employed by a public school and is not entitled to coverage under a plan provided under Insurance Code Chapter 1551 (Texas Em- ployees Group Benefits Act) or 1601 (State University Employees Uniform Insurance Benefits Act).
