AVS Companies means AVS and each of its Subsidiaries and each of their respective successors and assigns.

  • The AVS Companies (as hereinafter defined) are engaged in, among other things, the redistribution of aircraft engines, aircraft parts and aircraft engine parts through sale, lease and exchange transactions (the "Business").

  • The representations and warranties of the AVS Companies contained in this Agreement shall be true and correct in all material respects at and as of the Effective Time with the same force and effect as though made at and as of that time except (i) for changes specifically permitted by or disclosed pursuant to this Agreement, and (ii) that those representations and warranties which address matters only as of a particular date shall remain true and correct as of such date.

  • Any amounts any of the AVS Companies pays in excess of the Assumed Indebtedness in order to satisfy any indebtedness, obligations, duties and liabilities of the Company as of the Closing Date shall be deemed Indemnifiable Damages (as defined in Section 11.1), and AVS Companies may set off against the Held Back Shares (as defined in Section 3.2) or take any other action or exercise any other remedy available to it by appropriate legal proceedings to recover such amount.

  • Operating Companies shall have the meaning specified in the recitals to this Agreement.

  • Group Companies means the Company and its Subsidiaries.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Target Companies means the Company and its Subsidiaries.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Acquired Entities means the Company and each of its Subsidiaries, collectively.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Portfolio Companies means any Person in which any Fund owns or has made, directly or indirectly, an investment.

  • Operating Company means an “operating company” within the meaning of 29 C.F.R. §2510.3-101(c) of the Plan Asset Regulations.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Operating Subsidiaries means, collectively, the Corporation and HST, each a wholly-owned subsidiary of the Trust, and "Operating Subsidiary" means either of the Corporation or HST, as applicable.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Company Entities means the Company and the Company Subsidiaries.

  • The Parents /"You" means any person who has signed the Acceptance Form and/or who has accepted responsibility for a child's attendance at this School. Parents are legally responsible, individually and jointly, for complying with their obligations under these Terms and Conditions. Those who have "parental responsibility" (i.e. legal responsibility for the child) are entitled to receive relevant information concerning the child unless a court order has been made to the contrary, or there are other reasons which justify withholding information to safeguard the interests and welfare and best interests of the child.

  • Partnership Group Member means any member of the Partnership Group.

  • Seller Entities means the Seller and its affiliates other than the Buyer Entities;

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Holding Companies means, collectively, the Company and Holdings, and each is a “Holding Company”.

  • Subsidiaries means any corporation or other organization, whether incorporated or unincorporated, in which the Company owns, directly or indirectly, any equity or other ownership interest.

  • Companies means Borrower and its Subsidiaries; and “Company” shall mean any one of them.

  • PRC Companies means, collectively, all entities listed in Appendix A hereof, and each, a “PRC Company”.

  • PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants.
